帝国集团环球控股(00776.HK)：Novae Sports 拟购回30%股份
格隆汇 12 月 22日丨帝国集团环球控股(00776.HK)公告，于2020年12月22日，公司间接拥有70%权益的附属公司Novae Sports与Bravery Ace订立回购协议，据此，Novae Sports同意购回，而Bravery Ace同意出售回购股份(占Novae Sports已发行股份的30%)，代价为Novae Sports向Bravery Ace作出参赛及转让协议转授及约务更替。
由于完成时集团于Novae Sports的相对股权将从70%增加至100%，因此回购事项将构成公司视作收购事项。Novae Sports以参赛及转让协议转授及约务更替的方式向Bravery Ace支付代价，将构成公司出售事项。
紧随完成后，Novae Sports将成为公司间接全资附属公司，Novae Sports集团财务业绩将继续综合计入公司的综合财务报表。
Novae Sports为一间于英属处女群岛注册成立的有限责任公司，主要业务为电子竞技。作为集团内部重组的一部份，Apex Empire于2020年八月前后将其持有的70股Novae Sports普通股转让予盈业。
紧接完成前，Novae Sports由公司全资附属公司盈业及Bravery Ace分别拥有70%及30%权益。Bravery Ace的最终实益拥有人为杨。
Novae Sports为顶尖贸易(于香港注册成立有限责任投资控股公司)全部已发行股份实益拥有人。顶尖贸易为(i)海南万辉全部股权益实益拥有人，海南万辉是一间在中国成立有限责任公司，主要从事电脑技术开发、设计及开发电脑软件、手机软件及网络游戏、信息科技谘询、电脑及互联网技术谘询、技术服务、技术转移、商业管理谘询及商业信息谘询；及(ii)万辉苏州(于中国成立有限责任投资控股公司)70%股权益实益拥有人。
