航天發展(000547.SZ)擬聯合哈唯邇等共設航天新通
格隆匯 12 月 22日丨航天發展(000547.SZ)公佈，為貫徹國家新一代通信技術戰略部署，緊跟“5G+工業互聯網+智能製造”發展趨勢，以國家推進“新基建”為發展契機，快速推進公司5G通信與指控裝備板塊產業優化升級，實現“立足軍網、深耕專網、拓展公網”產業佈局，公司擬聯合重慶市哈唯邇企業管理諮詢合夥企業(有限合夥)(“哈唯邇”)、深圳翼龍創業投資合夥企業(有限合夥)(“翼龍創投”)、重慶南方工業股權投資基金合夥企業(有限合夥)(“南方工業”)共同投資設立航天新通科技有限公司(暫定名，以工商註冊為準，“航天新通”)。
公司於2020年12月21日召開第九屆董事會第十一次(臨時)會議，審議通過了《關於投資設立航天新通科技有限公司的議案》。此次投資設立的航天新通擬投資總額為20.5億元，註冊資本擬定為19億元。公司以現金出資約1.06億元及以所持重慶金美通信有限責任公司(“重慶金美”)69.2329%股權預估價值為約11.64億元進行出資，合計出資12.7億元，約佔註冊資本的66.84%；哈唯邇現金出資3.8億元，約佔註冊資本的20.00%；翼龍創投現金投資總額約2.22億元，其中約1.39億元計入註冊資本，約佔註冊資本的7.31%；南方工業現金投資總額為約1.78億元，其中約1.11億元計入註冊資本，約佔註冊資本的5.85%。
為貫徹國家新一代通信技術戰略部署，公司作為中國航天科工集團有限公司通信網絡技術牽頭單位、5G產業牽頭單位，在公司原有2G、3G、4G通信業務和技術積累的基礎上，依託子公司重慶金美設立航天新通科技有限公司。通過聯合通信領域技術及管理資深團隊，並攜手戰略合作方共同出資新設實體公司，最大程度激發技術發展動能和產業發展活力，突破5G及下一代通信核心技術；通過依託公司控股股東中國航天科工集團有限公司及團隊工業互聯網資源優勢，發揮公司自身網絡空間安全產業市場基礎以及微系統產業通信基礎技術支撐，真正實現在軍網戰術通信、專網行業通信、公網物聯通信等領域的快速佈局及產業化落地，打造新一代通信完整產業鏈，助力產業體系化發展，推進5G通信與指控裝備板塊跨越式發展，保障公司高質量發展。
