《复牌公告》高门集团(08412.HK)股东折让55.1%出售逾五成半持股 今日复牌
高门集团(08412.HK)公布,Aplus Concept及Phoenix Year同意向施清流及王钜成出售公司合共5.31亿股股份,约占公司全部已发行股本的55.28%,总代价为4,245.6万元,相等於每股0.08元,较股份於上交易日收市价每股股份0.178元折让约55.06%。
施清流就股份应向Aplus Concept支付2,972.2万元,及王钜成应向Phoenix Year支付1,273.4万元。根据收购守则规则,於完成後要约人须对所有已发行股份发出强制性无条件现金要约。
应公司要求,股份已由今年12月15日起在联交所短暂停止买卖。公司已向联交所申请自今日(18日)起於联交所恢复股份买卖。
