三湘印象(000863.SZ)簽署一份戰略合作框架協議與一份合作意向協議
格隆匯 12 月 15日丨三湘印象(000863.SZ)公佈，2020年12月14日，公司在天津簽署了一份戰略合作框架協議與一份合作意向協議，上述兩份協議僅反映協議各方關於合作的前期意向，目前未確定具體合作情況，亦不構成關聯交易或重大資產重組，無需提交公司董事會和股東大會審議。後續協議各方將就合作的具體方式、內容、標的等通過簽署正式合作協議予以明確。
三湘印象與天津北方文化產業投資集團股份有限公司、昂利(天津)集團有限公司簽訂《三湘印象股份有限公司、天津北方文化產業投資集團股份有限公司與昂利(天津)集團有限公司戰略合作框架協議》(“戰略合作框架協議”)。合作內容如下：
此次合作中，三湘印象將發揮上市公司平台作用，在合作平台中擔當藝術創意內容輸出方；天津北方文化產業投資集團股份有限公司將在合作平台運營，以及公司業務發展、金融融資配套、產業推進環境等各方面提供政策支持；昂利(天津)集團有限公司將負責為合作平台引入意大利等國家的設計和品牌資源，以及國內泛文化創意產業優質項目，協助合作平台搭建產業生態鏈條，完成細分領域的投資佈局。
各方將以包括但不限於成立合資公司、成立投資基金、產業園合作與運營、地產開發、旅遊產業開拓、技術交流、信息及資源共享、招商投資及其他創新方式，推動此協議項下戰略合作內容的落地。
公司與洪波、意中聯合國際投資管理有限公司、北京蓮和眾成醫療科技有限公司簽訂了《洪波/先生、意中聯合國際投資管理有限公司、三湘印象股份有限公司和北京蓮和眾成醫療科技有限公司合作意向協議》(“合作意向協議”)，擬合資成立一家有限責任公司，從事北京市大興區長子營鎮留民營村未來樂園項目的投資、開發、建設，並計劃植入文旅、科技、藝術、設計、會展、金融等的產業集羣。
各方擬共同出資成立投資公司(“A公司”)，投資開發建設大興未來數字樂園文旅綜合項目(“未來樂園項目”)等一系列文旅綜合項目。各方將於後續簽訂的正式合作協議中，對A公司的註冊資本、經營範圍，以及各方出資金額、佔股比例、出資方式和進度安排等作出具體約定。各方完成對A公司的出資義務後，若因投資、開發、建設及運營合作項目，需要進一步向A公司投入後續資金的，各方將於後續簽訂的正式合作協議中，對後續資金投入方式進行具體約定。
A公司未來將發揮股東在國內和國際上的產業積累、產業經驗、產業人脈，搭建中國和意大利設計師創意產業的交流合作平台，基於文化藝術IP，深耕天津、北京、江浙等核心城市，在全國佈局創意產業中心。
未來樂園項目計劃分兩期進行投資建設，預計總投資額為人民幣20億元。第一期項目擬投資金額為人民幣5.5億元，其中三湘印象擬投資佔比不超過20%。第一期項目建設完畢後，各方股東以增資或其他形式對第二期項目進行投資，具體投資事宜各方另行約定。
此次戰略合作框架協議與合作意向協議的簽訂，符合公司“加快發展文化產業，穩步發展房地產業”的發展戰略，是公司在“文化+地產”雙主業融合道路上持續推動主營業務發展的探索。
