虎都(02399.HK)购内地线上卖车业务 折让逾19%配股支付
虎都(02399.HK)公布,向Famous Brightness Limited收购拥中国线上汽车销售电商平台业务的Good Productive全数股权,并将透过向其配发及发行代价股份支付。
发行收购代价股份最高数目为4.34亿股(料占经扩大後股本18.41%),或不超过公司已发行股本之25%。每股发行价为2.65元,较公司上一个交易日收市价3.3元折让19.7%。
代价之一为收购公司2021年及2022年实际纯利五倍,前提为倘2021年实际纯利 超8,000万港元,就上述计算而言其将被视为8,000万元;代价二是倘目标集团截至2022年财年度录得实际纯利,为2022年实际纯利五倍,而2022年实际纯利超 过1.5亿元,将被视为1.5亿元计算。
