*ST金貴(002716.SZ)：確定財信郴州資管和長城資產湖南省分公司共同作為公司投資人蔘與公司重整
格隆匯 12 月 14日丨*ST金貴(002716.SZ)公佈，根據《重整投資協議》約定，郴投產業公司及其認可的主體通過金貴銀業重整出資人權益調整程序有條件受讓資本公積金轉增的股票。經郴投產業公司確認，其認可的主體為財信資產管理(郴州)有限公司(“財信郴州資管”)和中國長城資產管理股份有限公司湖南省分公司(“長城資產湖南省分公司”)。
管理人於2020年12月14日收到郴投產業公司向管理人提交的《關於重整投資人投資額和權益分配的通知書》及各方簽署的《關於合作重整郴州市金貴銀業股份有限公司的協議書》、《關於合作重整郴州市金貴銀業股份有限公司的一致行動協議書》，根據《通知書》的內容，郴投產業公司與郴州市發展投資集團有限公司(“郴投集團”)、財信郴州資管、長城資產湖南省分公司共同簽署《合作投資協議》，確定財信郴州資管和長城資產湖南省分公司共同作為金貴銀業投資人蔘與金貴銀業重整；根據《一致行動協議》的內容，財信郴州資管、長城資產湖南省分公司與郴投產業公司保持一致行動關係。同日，郴投產業公司、財信郴州資管、長城資產湖南省分公司向管理人提交了《郴州市金貴銀業股份有限公司重整案重整投資人證券賬户通知書》。
金貴銀業以現有總股本實施資本公積金轉增股本，郴投產業公司、財信郴州資管和長城資產湖南省分公司通過金貴銀業重整出資人權益調整程序有條件受讓資本公積金轉增的股票，並向金貴銀業提供合計552,450,000元(人民幣)資金，具體投資額及權益分配情況如下：
財信郴州資管和長城資產湖南省分公司自《一致行動協議》生效之日起至三年期限屆滿之日或《一致行動協議》被提前解除之日(二者孰早)，與郴投產業公司在金貴銀業重大事務決策(包括但不限於在股東大會行使表決權、提案權、提名權等；擔任董事的個人在董事會行使表決權、提案權、提名權等)時保持一致行動。
根據《證券賬户通知書》，郴投產業公司、財信郴州資管和長城資產湖南省分公司分別承諾，自上述轉增股票到賬之日起三十六個月內，不轉讓其所認購的金貴銀業股票。
如後續重整程序得以順利推進並實施，按照前述約定，郴投產業公司在受讓股票後其持有股票將佔重整後公司總股本的9.50%；財信郴州資管受讓股票後其持有股票將佔重整後公司總股本的4.98%；長城資產湖南省分公司受讓股票後其持有股票將佔重整後公司總股本的5.20%。結合《一致行動協議》的約定，預計公司股權及控制結構將發生變化。
