億緯鋰能(300014.SZ)：與SKI簽署債權轉股權合同和億緯集能合資經營合同
格隆匯 12 月 9日丨億緯鋰能(300014.SZ)公佈，為滿足子公司惠州億緯集能有限公司(“億緯集能”)的經營發展所需，公司、億緯集能與Blue Dragon Energy Co., Limited (“BDE”)簽署了四份《現金貸款合同》，億緯集能向BDE申請借款，公司以億緯集能60%股權提供質押擔保。
2018年9月19日，億緯集能收到向BDE申請的借款49798.80萬元；2019年8月14日，億緯集能收到向BDE申請的借款9070.19萬美元；2019年12月31日，億緯集能收到向BDE申請的借款7517.02萬美元；2020年4月22日，億緯集能收到向BDE申請的借款5472.06萬美元。即億緯集能收到向BDE申請的借款合計為人民幣203524.30萬元。
BDE、SK革新株式會社(“SKI”)、億緯集能及公司簽署了《債權轉讓協議》，由BDE向SKI轉讓BDE對億緯集能享有的全部貸款債權；同時，各方同意並確認《現金貸款合同》及相關協議(包括BDE與公司簽訂之《股權質押合同》)項下的一切BDE的權利義務由SKI承繼。
SKI是全球領先的能源、化學企業，是韓國第三大集團SK集團的核心成員企業，多年來穩居世界五百強之列。為謀求更大的發展，公司擬通過債轉股的方式引入SKI作為戰略投資者，與億緯集能、SKI簽署《債權轉股權合同》，與SKI簽署《合資經營合同》。SKI行使轉股權時，以其對億緯集能享有的現金貸款債權作為出資，取得億緯集能49%股權，公司同時放棄優先認購權。SKI行使轉股權、成為億緯集能股東後，有利於進一步發揮雙方在技術、市場、管理、供應鏈等方面的協同效應，提高億緯集能在國內外軟包電池市場地位、發揮領先優勢，優化億緯集能財務結構。
上述事項已經公司第五屆董事會第十八次會議審議通過，無需提交公司股東大會審議，尚需國家市場監督管理總局反壟斷局批准。
