珠光控股(01176.HK)拟9亿元收购广州发展汽车城剩余49%权益

格隆汇 12 月 7日丨珠光控股(01176.HK)宣布,于2020年12月7日,公司全资附属保锋投资有限公司拟以人民币9亿元收购目标公司广州发展汽车城有限公司49%股本权益。

据悉,目标公司主要业务活动为物业发展。于公告日期,集团及卖方分别拥有目标公司的51%及49%股本权益。广州土地乃目标公司的主要资产,而该土地可作商业、旅游业及娱乐用途,为期40年并于2058年2月20日届满,而作综合及其他用途者则为期50年并于2068年2月20日届满。广州土地计划发展为集(但不限于)购物中心、办公室物业及高端公寓楼宇为一体的商业综合大楼。

于公告日期,目标公司持有项目的权益。项目包括发展广州土地,总地盘面积约63,637平方米,并将发展为办公室、公寓及商业用途之楼宇。项目用作销售及发展之总建筑面积("建筑面积")分别约352,158平方米及360,655平方米,而项目分为四期进行发展。第一期至第三期项目于公告日期正进行施工。第一期项目涵盖四座公寓大楼(包括部分零售),占可供出售总建筑面积约33,095平方米,其于2020年7月开始预售,并预期于2022年四月竣工,而项目之余下期数用作销售之总建筑面积约319,063平方米,预期于2025年五月前竣工。

公告称,董事会对中国一线城市及粤港澳大湾区之物业发展业务前景抱持乐观态度。由于位于中国广州市之广州土地由目标公司拥有,并计划透过项目发展成办公室、公寓、商业、旅游及娱乐用途,凭藉收购目标公司的49%余下股本权益,集团将得以全权控制项目及完全拥有广州土地。此外,广州土地位于中国广东省广州市天河区黄埔大道东,邻近广州地铁5号线之三溪站,且位于中国广东省广州市天河区之已规划广州国际金融城范围内,故其发展潜力庞大。鉴于广州土地之发展潜力且其地理位置优越兼交通便利,董事会认为,收购事项诚属集团于中国广州市进一步发展及扩张其物业发展业务之策略性良机。
