海航科技(600751.SH)：延期至2020年5月5日應償還的7.5億美元貸款本金及應於2020年12月2日償還的6億美元貸款本金尚未償還
格隆匯 12 月 2日丨海航科技(600751.SH)公佈，2016年12月5日(紐約時間)，公司通過境外子公司GCL Acquisition, Inc.以現金支付方式完成收購了美國紐約證券交易所上市公司Ingram Micro Inc. (“IMI”)100%股權，收購完成後IMI從美國紐約證券交易所退市，成為公司的控股子公司。公司境外子公司GCL Investment Management, Inc. (“GCL”)作為借款人，向中國農業銀行紐約分行組織的銀團借款40億美元，資金用於支付收購IMI100%股權之收購價款，其中應於2019年9月5日償還的併購貸款本金為3.5億美元，於2019年12月償還的併購貸款本金為4億美元(“貸款本金”)，經銀團審批並簽署《併購貸協議之補充協議》，上述貸款本金的還款時間均延期至2020年5月5日。另外，根據前期併購貸銀團出具的還款通知，GCL應於2020年12月2日償還貸款本金6億美元。
公司分別於2018年12月4日、2019年1月29日、2019年9月5日、2019年12月25日、2020年5月6日披露了《關於境外子公司延期支付併購貸款的提示性公告》、《關於簽署<併購貸展期協議>的提示性公告》、《關於境外子公司延期支付併購貸款本金的進展公告》、《關於簽署<併購貸協議之補充協議>的提示性公告》、《關於境外子公司延期支付併購貸款本金的進展公告》。
截至公告披露日，延期至2020年5月5日應償還的7.5億美元貸款本金以及應於2020年12月2日償還的6億美元貸款本金尚未償還。公司已就償還7.5億美元貸款本金和2020年12月2日到期的6億美元貸款本金，與銀團參貸行積極協商還款時間延期事宜，各參貸行正在履行內部審批程序。公司將及時跟進該事項進展並履行信息披露義務。
