黃河實業(00318.HK)：擬認購雲端平台業務Claman Global 20.2％權益以增加權益至50.3％
格隆匯 11 月 29日丨黃河實業(00318.HK)公佈，2020年11月27日，公司全資子公司VG Investment Assets Holdings Inc作為認購方與目標公司Claman Global Limited訂立股份認購協議，據此，公司全資子公司同意以代價為1410萬港元認購目標公司約20.2％的股權，並以現金支付代價。
公司目前持有目標公司約22.5％的股權。公司將在收購完成後持有約40.3％的股權，及在股份認購完成後持有約50.3％的股權。目標公司將成為公司的附屬公司，而目標公司的業績將合併至公司的財務報表中。
目標公司為於英屬處女羣島註冊成立的有限公司。目標公司擁有市場領導的開發和運營具有內置的多語言系統和先進的支付工具的專有多功能雲端平台的科技業務，為廣泛的業務需求服務，例如電子商務，大型活動，虛擬活動和籌款活動。自2012年，這些先進創新科技及一站式全方位服務已向中小企業，本地和國際公司，非牟利機構，媒體組織，大學，體育活動，比賽活動和其他大型活動的廣泛客户羣提供。
