海越能源(600387.SH)：相關股東延長股份鎖定期
格隆匯 11 月 24日丨海越能源(600387.SH)公佈，海越能源集團股份有限公司(“公司”，原名稱“浙江海越股份有限公司”)以發行79,632,464股股份向海航雲商投資有限公司(“海航雲商”)、萍鄉中天創富企業管理合夥企業(有限合夥)和天津惠寶生科技有限公司購買其合計持有的天津北方石油有限公司100%股權，上述事項已於2017年11月29日實施完成。其中，公司向海航雲商發行了63,705,972股股份用於購買其持有的天津北方石油有限公司相應股權。具體內容詳見公司於2017年12月1日在上海證券交易所網站披露的《海越股份發行股份購買資產暨關聯交易實施情況暨新增股份上市公告書》。
根據《上市公司重大資產重組管理辦法》第48條的規定，海航雲商在本次發行股份購買資產交易中出具了《關於股份鎖定期的承諾函》和《關於股份鎖定期的補充承諾》，主要承諾事項如下：
“一、承諾人在本次交易中認購的上市公司股份上市之日起36個月內不以任何方式轉讓；在本次交易中認購的上市公司股份上市之日起滿36個月，且利潤承諾補償義務已經履行完畢後，承諾人再行申請解鎖股份，解鎖股份數量=承諾人在本次交易中認購的上市公司股份-累計已補償的股份(如有)。
二、本次交易完成後6個月內如上市公司股票連續20個交易日的收盤價低於發行價，或者交易完成後6個月期末收盤價低於發行價的，承諾人持有的上市公司股票的鎖定期自動延長至少6個月。
三、本次交易完成後，承諾人因海越股份送紅股、轉增股本等原因增持的上市公司股份，亦應遵守上述約定。若相關證券監管部門的監管意見或相關規定要求的股份鎖定期長於上述鎖定期，承諾人願意根據相關證券監管部門的監管意見和相關規定進行相應調整。”
截止公告日，海航雲商嚴格履行了上述承諾。由於在上述交易完成後6個月內，公司A股股票已連續20個交易日收盤價低於本次重組的發行價格13.06元/股，根據前述承諾，公司向海航雲商發行的63,705,972股股份在36個月鎖定期基礎上延長6個月，即股份鎖定期延長至2021年5月29日(如遇法定節假日或休息日，則順延至其後的第一個交易日)。
