復宏漢霖-B(02696.HK)：建議採納2020年股份激勵計劃
格隆匯 11 月 17日丨復宏漢霖-B(02696.HK)公佈，公司已於2018年4月採納2018年股份激勵計劃，據此，合資格僱員已同意通過公司兩名直接股東上海果運(就屬於中國大陸公民的僱員而言)與HenLink(就並非屬於中國大陸公民的僱員而言)參與2018年股份激勵計劃，於公告日期，兩名直接股東分別持有公司1171.4650萬股內資股及1587.6694萬股非上市外資股份。
儘管2018年股份激勵計劃的若干參與者不再受聘於集團，彼等於上海果運的若干權益及/或於HenLink的若干股份(視情況而定)仍然受2018年股份激勵計劃載列的轉讓限制所規限。根據2018年股份激勵計劃及建議修訂，由於已辭任2018年參與者須轉讓其受限制權益，公司將促使將已辭任2018年參與者持有的該等受限制權益轉讓予集團其他合資格僱員。因此，董事會建議採納2020年股份激勵計劃，據此，2020年參與者將自已辭任2018年參與者收購受限制權益。因2020年股份激勵計劃並不涉及公司授出購股權以供認購新股份，故其條款毋須受上市規則第十七章的條文約束。
經採納2020年股份激勵計劃後，在遵守適用規則及法規的前提下，2020年參與者將從已辭任2018年參與者收購由已辭任2018年參與者持有的受限制權益，收購價經參考該等受限制權益在2018年股份激勵計劃條款下的原收購成本而釐定。2020年參與者將以彼等自身的財務資源支付有關收購的代價。
於受限制權益轉讓完成後，2020年參與者通過上海果運或HenLink(視乎情況而定)間接擁有權益的股份將受二零二零年股份激勵計劃所載的轉讓限制約束。於2020年股份激勵計劃落實執行後，由於公司不會發行新股份，上海果運及HenLink持有的股份總數將維持不變。於2020年股份激勵計劃落實執行後，在上海果運於公告日期持有的1171.4650萬股內資股及HenLink於公告日期持有的15,876,694股非上市外資股份當中，2020年參與者將分別於36.07萬股內資股及242萬股非上市外資股份中間接擁有權益。
就董事所深知，除建議執行董事Wenjie Zhang先生(張文傑先生)(其委任須待股東在將於2020年11月19日舉行的臨時股東大會上批准後方可作實)及集團附屬公司的董事Wenfeng Xu先生(許文峯先生)外，全體2020年參與者均為獨立第三方。於2020年股份激勵計劃落實執行後，Zhang先生及Xu先生透過HenLink分別於100萬股及12萬股非上市外資股份中擁有間接權益。
