共享集團(03344.HK)：高等法院已授出認可令
格隆匯 11 月 17日丨共享集團(03344.HK)公佈，於2020年11月10日，高等法院已授出命令("認可令")，主要條款載列如下：
1.根據開曼羣島大法院日期為2020年5月28日的命令，公司的臨時清盤及委任共同臨時清盤人獲高等法院認可；
2.共同臨時清盤人擁有並可於香港特別行政區行使以下權力：
(1)與公司就有關公司董事及其顧問所建議的債務重組計劃可行性的所有問題持續進行諮詢及審查，包括為令重組建議得以順利實施而所需採取之必要措施，從而令公司可持續經營；
(2)經諮詢公司董事會，進行實施重組建議所需的一切事情；
(3)監控、監察及監督董事會及董事會控制下公司業務的持續經營，以待實施重組建議；
(4)於董事會同意的情況下采取一切行動並以公司名義及代表公司籤立所有契據、收據及其他文件，並就此目的於必要時使用公司印章(如有)；
(5)為重組目的，確定及調查公司、其附屬公司或公司擁有權益的相關合營企業、聯營公司或其他實體之事務；
(6)向第三方要求並收取有關公司及其發起、組建、業務往來、賬目、資產、負債或事務(包括導致其資不抵債的原因)的文件與資料；
(7)識別、保護、保障、接管並控制屬於或名義上屬於公司的所有資產及財產；
(8)識別、保護、保障、接管並控制屬於公司的簿冊、文件及記錄(包括會計及法定記錄)，並調查公司的資產及事務以及導致公司資不抵債的情況；
(9)挽留及聘用大律師、事務律師或律師及╱或共同臨時清盤人認為合適的其他代理或專業人士，以就共同臨時清盤人執行其權力及職責提供意見或協助；及
(10)在可能需要補充及實施上文第(1)至第(8)分段規定的權力的情況下，以共同臨時清盤人名義或以公司名義代表公司併為公司利益，向高等法院提起法律訴訟程序或進行抗辯及作出所有該等申請，包括有關下列各項的任何申請：(a)預期共同臨時清盤人會要求作出披露、交出文件及╱或對第三方進行審查的命令，以協助彼等調查公司的資產及事務以及導致其資不抵債的情況；及╱或(b)於任何已展開的法律程序的附屬濟助的申請，如凍結令、搜查及扣押令。
3.任何授權或需要由共同臨時清盤人執行的事宜由所有或任何或更多受委聘人士執行。
4.倘共同臨時清盤人因認可令確認彼等的委任而擬就高等法院的任何類別訴訟申請擱置或其他指示，有關申請須提交予夏利士法官或其指示的其他法官。共同臨時清盤人須致函夏利士法官書記，尋求案件管理指示，以決定彼等擬根據認可令提出的任何申請；
5.共同臨時清盤人可自由申請；及
6.申請費用以公司資產撥付，作為臨時清盤開支。
