愛康科技(002610.SZ)與泰興高新區管委會、智光創投等擬進一步簽署合作備忘錄
格隆匯 11 月 11日丨愛康科技(002610.SZ)公佈，公司及控股股東江蘇愛康實業集團有限公司(“愛康實業”)與江蘇省泰興高新技術產業開發區管理委員會(“泰興高新區管委會”)簽署了《戰略合作框架協議》，主要是基於各方具有高度的產業契合度，在光伏電站，高效異質結項目等領域全面深化戰略合作，並建立密切的合作伙伴關係，共同促進各方的產業發展。
為順利推進《戰略合作框架協議》項下的合作內容，公司與泰興高新區管委會、江蘇智光創業投資有限公司(“智光創投”)、江陰金貝一號新能源發展合夥企業(有限合夥)(“金貝一號”)、中智(泰興)電力科技有限公司(“中智公司”)、蘇州愛康能源工程技術股份有限公司(“能源工程”)、泰興市智光人才科技廣場管理有限公司(“人才廣場”)擬進一步簽署《合作備忘錄》，涉及公司的主要內容包括以下：
1、關於愛康科技旗下的電站項目公司的收購
在備忘錄簽署後，愛康科技將向泰興高新區管委會指定主體人才廣場出售電站項目，交易價款以雙方均認可的評估機構以2020年9月30日為基準日出具的評估報告評估價值為準。
光伏電站項目公司股權交割之日起5年內，在簽署運維合同前提下，轉讓方愛康科技與運維方應確保光伏電站項目公司股權購買方向愛康科技及/或其全資子公司所支付的對價款(含支付原股東的往來款，但不含應收存量國家補貼款)每年實現不低於約定的淨收益率。
2、關於異質結項目的開發、建設及運營
異質結項目擬分三期建設，每期2GW。一期項目屬於擴建項目，包括原項目資產(智公司現有的160MW產線及相關資產)及擴建項目(指新建1.84GW產線及其他必要配套的廠房、設施及其他設備等)，擬由金貝一號收購中智公司控股權，並設立中智公司的全資子公司實施一期項目。各方還約定了原有項目資產出資方式、委託運營、擴建項目的設計、採購、安裝、調試、價格確認等的分工。
一期項目公司的項目工程(包括項目設計及土建等)由能源工程作為總承包單位負責，各方進一步約定了採購墊資等事宜，具體待正式協議簽署時披露。
3、關於基金的設立及一期項目公司的收購
(1)各方同意組建基金在滿足正式投產等條件後，對前述由中智公司設立的一期項目公司進行收購(受讓對價以評估報告為準)。愛康科技作為LP之一參與。具體待基金協議簽署時審議披露。
(2)基金將用於收購異質結項目公司的股權，及支付能源工程一期項目工程款，能源工程在收到上述工程款後，用於歸還項目建設期的工程款。各方進一步明確了，如果一期2GW異質結項目建設期資金不足的解決方案，以確保一期2GW項目竣工完成。
(3)關於異質結項目的二期和三期項目的合作模式參照一期項目的模式執行。若二期和三期項目的建設資金出現不足，各方同意另行商議解決方案。
