林達控股(01041.HK)為重組目的而委任臨時清盤人
格隆匯 11 月 11日丨林達控股(01041.HK)宣佈，於2020年11月10日下午二時三十分(百慕達時間)百慕達最高法院經進行共同臨時清盤人申請聆訊後，已頒出命令批准在"輕觸"方式的基礎上為重組目的委任羅申美企業顧問有限公司(地址為：香港銅鑼灣恩平道二十八號利園二期二十九樓)的馬德民及黃國強，以及R&H Services Limited (地址為：3rd Floor, 5 Reid Street, Hamilton, HM 11,Bermuda) 的Edward Alexander Niles Whittaker為共同臨時清盤人。
該命令規定，一旦為公司委任了共同臨時清盤人，除非獲得百慕達法院的准許及按百慕達法院可能施加的條款而行，否則任何針對公司的訴訟、行動或其他法律程序(包括刑事訴訟)均不得開展或進行。該命令亦規定，為免生疑，未經共同臨時清盤人直接或間接批准，不得派付或處置公司的財產或轉讓股份或更改公司股東身份，惟根據百慕達公司法第166條的規定，共同臨時清盤人透過或憑藉其所獲的授權或批准履行職責及職能，以及根據該命令行使其權力時，有關財產的派付或處置或轉讓股份或更改公司股東身份概不會失效。
共同臨時清盤人獲授權行使以下(其中包括)各項職能：(1)制訂並提出公司債務重組計劃使公司能夠繼續持續經營，以與公司的債權人達成和解或安排，包括(但不限於)以安排方案方式達成和解或安排；(2)監控、監察及監督董事會管理公司業務，以期實施及提出重組建議；(3)監督、諮詢並以其他方式與公司的債權人及/或股東保持聯繫(根據共同臨時清盤人的全權酌情決定)，涉及重組建議及其實施，包括共同臨時清盤人(全權酌情決定)認為適當的情況下成立債權人委員會；(4)物色投資者和資金提供者，促使彼等向公司投資及/或提供資金；及(5)監督現有董事會(並參加任何董事會會議)，以期公司持份者獲得最大回報。
為免生疑，董事會將繼續管理公司各方面事務及行使公司組織章程大綱及細則所賦予之權力，惟與公司的日常業務有關的事項須在共同臨時清盤人監控及監察下行事，而有關公司的日常業務以外的事項則須經共同臨時清盤人事先批准方可行事。
共同臨時清盤人與公司正在擬備必要的申請，請香港高等法院認可該委任共同臨時清盤人的命令。
此外，公司股份繼續停牌。
