埃斯頓(002747.SZ)子公司地塊擬被收回 收購補償金約1.71億元
格隆匯 11 月 8日丨埃斯頓(002747.SZ)公佈,因南京江寧開發區高新技術產業園擬對公司之全資子公司南京埃斯頓自動控制技術有限公司(“埃斯頓自動控制”)位於南京市江寧區秣陵街道將軍南路155號地塊(“將軍大道155號地塊”)實施產業升級並打造招商引資平台,需對將軍大道155號地塊土地使用權實施收回。將軍大道155號地塊佔地面積25489.35平方米(約38.23畝),不動產權證號為:蘇(2019)寧江不動產權第0050694號,收購補償金額為17086萬元。
2020年11月7日,公司第四屆董事會第五次會議審議通過了《關於簽署土地使用權收回協議的議案》。
將軍大道155號地塊原用於自動化核心部件及運動控制系統業務的研發生產和銷售,經過近幾年公司各廠區間業務優化調整,已先後分別搬遷至南京市江寧經濟技術開發區水閣路16號、南京市江寧區燕湖路178號,將軍大道155號地塊已無實際生產經營,故此次簽署土地使用權收回協議不會影響公司正常的生產經營。
截至2020年9月30日,將軍大道155號地塊原始土地及建造成本為14214.35萬元,賬面淨值為12164.96萬元,根據《企業會計準則第4 號——固定資產》,企業出售、轉讓、報廢固定資產或發生固定資產毀損,應當將處置收入扣除賬面價值和相關税費後的金額計入當期損益。因收回土地使用權產生的相關損益將根據付款時間及收回土地使用權時間計入相關期間損益,預計將對2020年度的利潤產生影響,最終會計處理將以會計師事務所審計結果為準。
