海昌海洋公園(02255.HK):海昌旅遊獲長安信託注資1.9億元
格隆匯11月6日丨海昌海洋公園(02255.HK)公佈,於2020年10月30日,公司全資附屬海昌旅遊、長安信託與目標公司大連海昌嘉悦置業發展有限公司訂立增資協議,長安信託同意對目標公司的註冊資本額外注資人民幣1.9億元,新增註冊資本人民幣1.9億元由信託計劃實繳至目標公司。於工商變更登記完成後,目標公司的股權將分別由海昌旅遊持有5%及由長安信託持有95%。因此,目標公司屆時將不再為公司的附屬公司。
為配合增資協議,海昌旅遊、長安信託及目標公司於同日訂立一份合作協議。自長安信託第一筆增資滿12個月之日起,海昌旅遊或其指定方有權按根據該合作協議的條款及條件計算得出的價格,回購部分或全部長安信託持有的目標公司股權。
目標公司主要在中國從事旅遊業務、物業管理、酒店管理、房地產開發經營及企業管理等業務,海昌嘉德為目標公司的全資附屬公司。海昌嘉德及三亞市自然資源和規劃局已於2020年10月13日就該地塊訂立土地使用權出讓合同。海昌嘉德已繳納收購該地塊的人民幣2.64億元保證金主要通過股東借款方式取得,並將承擔該地塊後續土地出讓金的繳納及開發建設義務。
集團計劃在海南省三亞市開發建設旅遊配套項目,該地塊將用於開發集團三亞海昌夢幻海洋不夜城項目的配套主題酒店及休閒度假物業,作為集團三亞項目的配套硬件設施。長安信託的注資及後續投入將用於目標公司的債務償還及該地塊的後續開發。據此,訂立增資協議及連帶的合作協議可為集團進行旅遊配套項目的開發建設提供充足的資金保障。此外,集團具備回購目標公司權益的權利,未來可結合集團實際情況就該地塊的開發作出靈活決策。
董事會相信,建設主題酒店及休閒度假物業將有助於優化補強三亞項目產品業態,即使未來集團不行使回購權利由第三方持有目標公司,集團亦有進一步機會為該地塊的開發建設提供規劃設計和建設管理等諮詢顧問服務,以及對酒店提供運營管理等輕資產服務,而建於該地塊上的酒店及度假物業對三亞項目形成有效聯動,推動三亞項目提質升級,並進一步強化三亞項目的吸引力和營收能力。
