利亞零售(00831.HK)擬27.90億港元出售便利店業務
格隆匯 11 月 5日丨利亞零售(00831.HK)發佈公告，2020年11月5日，公司作為賣方與ACT的全資附屬公司Couche-Tard HK Limited作為買方及ACT(作為買方擔保人)訂立買賣協議，以27.90億港元現金代價(按無現金及無債務基礎計算，並在交割時予以調整)出售集團的便利店業務。在買賣協議條款規限下，出售事項以銷售股份(目標公司全部已發行股本)的售出而生效。以於該公佈日期的已發行股份768,154,974股，並假設於公佈日期與交割日的間概無發行新股份且無購回股份計算，此估值相當於每股3.63港元。
銷售股份為目標公司Convenience Retail Asia (BVI) Limited(公司的全資附屬公司，為便利店業務的控股公司)全部已發行股本。目標集團主要以“OK便利店”品牌於中國香港經營連鎖便利店業務(即便利店業務)。截至該公佈日期，目標集團於中國香港經營約340家OK便利店。董事會擬動用全部出售事項所得款項淨額派付特別現金股息。倘若出售事項所得款項淨額不足以支付特別現金股息，公司有足夠的內部資源支付特別現金股息。
受限於若干條件的達成，公司擬向於記錄日期名列於公司股東名冊內的股東派發特別現金股息(每股股份3.85港元)。根據上市規則，記錄日期將設定在股東特別大會的後的日期，並將適時公佈。預期特別現金股息將於2020年12月31日或前後派付予股東。
買方為一家依照中國香港法律註冊成立的有限責任公司，為ACT的全資附屬公司，ACT於多倫多證券交易所上市(股份代號： ATD.A及ATD.B)，主要以“Couche-Tard”和“Circle K”品牌從事便利店及道路運輸燃油零售相關業務，在全球擁有近14,350個經營點。ACT於加拿大為便利店行業的領先企業。在美國，為按直營店數量最多的獨立便利店營運商。在歐洲，ACT於斯堪的納維亞國家(挪威、瑞典和丹麥)、波羅的海國家(愛沙尼亞、拉脱維亞和立陶宛)以及愛爾蘭為便利店及道路運輸燃油零售行業中的領導者，並在波蘭佔據着重要地位。此外，ACT在特許權協議下於亞太區(包括中國香港)、中美洲及中東的其他十五個國家和地區以“Circle K”品牌經營近2,350家店鋪。Alain Bouchard先生為ACT的創始人兼董事長，目前是ACT的控股股東，持有ACT已發行股份的34.38%投票權。
