碧桂園服務(06098.HK)擬收購福建東飛合共60%股權
格隆匯 10 月 30日丨碧桂園服務(06098.HK)公告，於2020年10月30日，碧桂園生活服務及碧桂園物業香港(均為公司間接全資附屬公司)分別與(其中包括)鼎榕環保及OneSupreme簽訂股權轉讓協議，據此，集團同意直接及間接收購福建東飛合共60%股權。
完成收購事項後，集團將直接及間接持有福建東飛合共60%股權，而至誠投資、滙鼎投資及福建東飛將成為集團的附屬公司，其業績、資產及負債將會於集團賬目內綜合入賬。
福建東飛收購事項代價為人民幣3.75億元。代價乃於計及包括福建東飛所處行業市場現狀及未來發展空間、業績承諾、福建東飛的市值、福建東飛股權轉讓協議項下股權質押及擔保及福建東飛現存管理項目狀況等因素後，經公平磋商釐定。
福建東飛為一家根據中國法律成立有限公司，成立於2013年1月，其主營業務涵蓋道路清掃保潔、生活垃圾收集運輸、垃圾中轉站建設運營、河道治理養護、綠化養護及城鄉環衞一體化項目投資運營等城鄉環境服務全產業鏈，是福建省內知名的民營環境綜合服務商，在全國擁有項目公司數十個，服務團隊過萬人，各類環衞作業車輛數千輛。
其擁有城市生活垃圾經營性清掃、收集、運輸服務資質及福建省環境衞生作業企業甲級資質，曾榮獲"中國環衞行業十佳優質品牌"、"中國環衞行業最佳示範企業"、"2020年福州市重點上市後備企業"、"福州市總部企業"等榮譽稱號。
