華聞集團(000793.SZ)：車音智能的相關股東延期實施購買公司股票
格隆匯 10 月 23日丨華聞集團(000793.SZ)公佈，公司於近日收到控股子公司車音智能科技有限公司(“車音智能”)股東拉薩子棟科技有限公司(“子棟科技”)、拉薩鼎金實業有限公司(原名“拉薩鼎金投資管理諮詢有限公司”，“鼎金實業”)及車音智能原股東新意資本基金管理(深圳)有限公司(“新意資本”)《關於購買華聞集團股票承諾實施進展情況暨申請延期實施承諾的函》，獲悉子棟科技、鼎金實業實施購買公司股票承諾的進展情況，同時子棟科技、鼎金實業提出延期實施購買公司股票承諾的申請。
2019年8月30日，公司收到子棟科技、鼎金實業發來的《關於申請延期實施購買華聞傳媒投資集團股份有限公司股票承諾的函》，子棟科技、鼎金實業向公司申請延期實施購買公司股票承諾，購買期間由“自車音智能60%股權過户之日起12個月內(不含車音智能60%股權過户當月)”調整為“自公司股東大會審議通過該次申請延期實施購買公司股票承諾事項之日起12個月內(因停盤事項，購買期限予以相應順延)”，該次申請延期已經公司2019年9月10日召開的第七屆董事會2019年第十三次臨時會議、第七屆監事會2019年第三次臨時會議和2019年10月10日召開的2019年第三次臨時股東大會審議通過，同意子棟科技、鼎金實業實施購買公司股票承諾延期至2020年10月9日。截至2020年10月9日，子棟科技、鼎金實業尚未購買公司股票。
2019年以來全球經濟下滑，2020年新冠疫情又肆虐全球，重創全球實體經濟，全球範圍內大規模停工停產。子棟科技和鼎金實業為產業投資公司，受宏觀經濟環境及政策導向影響頗為明顯，短期內不僅無法獲得投資項目的分紅、變現收入，還需為所投項目注入流動性以維持項目運營，現金流非常緊張，資金使用計劃被迫修改。汽車行業屬遭受重創的行業之一，車音智能作為汽車行業之車聯網綜合服務供應商，生產經營亦遭受重創，在此背景下，今年以來子棟科技和鼎金實業也一直持續為車音智能獲取流動性提供支持，直接提供資金或者為車音智能的各項融資提供增信擔保。為此，子棟科技和鼎金實業再次向公司申請延期實施購買公司股票承諾，購買期間調整為“自公司股東大會審議通過本次申請延期實施購買公司股票承諾事項之日起12個月內(因停牌事項，購買期限予以相應順延)”。
承諾方擬用於購買公司股票的金額合計不得低於5億元，但購買公司股票的比例合計達到公司屆時總股本的4.99%時，可不再繼續購買公司股票。
鑑於新意資本已完成其購買8.30%比例的承諾，子棟科技、鼎金實業仍按照45.85%：45.85%的比例，通過集中競價交易方式或其他方式直接購買公司股票。
公司於2020年10月23日召開的第八屆董事會2020年第十四次臨時會議以同意4票、反對0票、棄權0票審議批准了《關於車音智能科技有限公司股東申請延期實施購買公司股票承諾的議案》。
公司於2020年10月23日召開的第八屆監事會2020年第四次臨時會議以同意2票、反對0票、棄權0票審議批准了《關於車音智能科技有限公司股東申請延期實施購買公司股票承諾的議案》，並發表了意見。
