中利集團(002309.SZ)與北控能源簽訂戰略合作協議書
格隆匯 10 月 22日丨中利集團(002309.SZ)公佈，近日，公司(乙方)與北控清潔能源集團有限公司(“北控能源”，甲方)簽訂《戰略合作協議書》。雙方本着平等互利的原則，經友好協商，在友好合作的基礎上，建立雙方長期戰略合作關係。
甲乙雙方本着互惠互利、共同發展、長期合作的原則，經雙方友好協商，正式結成戰略合作伙伴關係，並確定以下合作內容：
1、甲乙雙方在全球範圍內的新能源市場開展合作或合資發展。在國內平價光伏電站項目開發、EPC建設與運維等實現全面合作。
2、乙方開發的平價和競價光伏項目：擬由甲方作為該項目的投資持有方，乙方可提供光伏組件、光伏電纜、農業光伏設計及支架等產品及EPC總承包中的部分產品或服務。
3、甲方自行開發的光伏平價和競價光伏項目，適當考慮採用乙方的組件、電纜產品及EPC總承建。
4、根據合作項目開發需要，雙方可以按照一定股比成立EPC公司，甲方可控股。充分利用甲方央企優勢和乙方多年來與地方政府關係及農光一體化的技術優勢，為雙方EPC合資公司在國內各區域推廣開發平價農業光伏電站項目。合資公司開發的項目由甲方持有，合資公司負責開發建設及運維服務。
5、雙方擬共同與地方政府簽署開發GW級以上規模項目。如政府要求，在當地同時投資工業製造項目，如：組件、電纜、儲能、環保等生產型公司，由乙方為主要投資股東、甲方參與部分股權成為政策允許的混改企業；如政府要求，在當地成立新能源投資公司，由甲方為主要股東、乙方參與部分股權。
6、雙方預計在未來3~5年內：合作(合資)開發地面電站包括平價地面電站、分佈式電站、農業(漁光)互補電站、智能光伏+智慧農業電站包括儲能光伏電站等開發項目總量約3GW，並根據雙方各自發展規劃和合作開展情況，考慮動態調整合作規模。
北控清潔能源集團有限公司作為香港聯合交易所主板上市公司(01250.HK)，在資金、社會資源等方面具有較強的綜合實力，其致力於發展太陽能發電、風力發電、水力發電、清潔供暖等多種清潔能源業務，同時前瞻性地佈局智能微電網、儲能、配售電等業務。公司以清潔能源開發和能源清潔利用為主線，全力構建多能互補、多業協同的清潔能源生態系統。至2019年底，北控能源累計新能源裝機規模達3.5GW，項目遍佈全國20多個省市及海外澳大利亞國家。
此次合作有利於雙方整合資源，充分發揮各方在資金、建設、技術、人才等領域的優勢，全面開展在光伏業務領域的探索合作，從而實現互惠互利、合作共贏。此次合作符合公司整體戰略發展規劃，有利於公司整合外部資源不斷拓展各項核心業務，提升公司經營業績。未來如雙方有具體項目落地合作，將有利於提升公司的市場競爭力和市場佔有率，從而進一步提高公司的綜合實力。
