愛迪爾(002740.SZ)：收到福建證監局警示函
格隆匯 10 月 22日丨愛迪爾(002740.SZ)公佈，公司於2020年10月22日收到中國證券監督管理委員會福建監管局(“福建證監局”)下發的《關於對福建省愛迪爾珠寶實業股份有限公司採取出具警示函措施的決定》([2020]43號)。

經查，我局發現你公司存在如下違規擔保情況：
2018年11月19日，你公司控股子公司深圳市大盤珠寶首飾有限責任公司(“大盤珠寶”)董事蘇建明及其配偶郎嬌翀與深圳市特發小額貸款有限公司(“特發貸款公司”)簽署借款合同，特發貸款公司向蘇建明、郎嬌翀提供700萬元借款，借款期限10個月。同日，大盤珠寶與特發貸款公司簽署擔保函，向特發貸款公司與蘇建明、郎嬌翀的借款提供連帶擔保責任，擔保金額700萬元(佔你公司2017年經審計淨資產的0.48%)。本次擔保事項，你公司未經公司董事會審議並及時對外披露，直至2020年5月22日才披露擔保事項，對外擔保披露不及時。截至2020年9月30日，上述違規擔保事項尚餘54.80萬元本金未償還，違規擔保事項尚未解除。
2018年4月17日，蘇華清與陳建德簽署借款協議，陳建德向蘇華清提供500萬元借款，借款期限1年。2019年9月24日，蘇華清與陳建德簽署還款承諾書，約定延長借款期限，大盤珠寶為蘇華清的借款提供連帶擔保責任，擔保金額500萬元(佔你公司2018年經審計淨資產的0.34%)。本次擔保事項，你公司未經公司董事會審議並及時對外披露，直至2020年7月4日才披露擔保事項，對外擔保披露不及時。截至2020年9月30日，上述違規擔保事項尚餘500萬元未償還，違規擔保事項尚未解除。
你公司上述情況違反了《上市公司信息披露管理辦法》(證監會令第40號)第二條第一款，依照《信息披露管理辦法》第五十九條第(三)項的規定，我局決定對你公司採取出具警示函的監督管理措施。警示如下：一是要嚴格遵守上市公司信息披露等法律法規，加強公司內部控制，採取有效措施提升公司的規範運作和信息披露水平；二是公司董事、監事、高級管理人員應加強有關證券法律法規的學習，切實履行勤勉盡責義務；三是要根據公司規定開展內部問責，促進有關人員勤勉盡責。
你公司應在30日內向我局提交書面整改報告並抄送深圳證券交易所。整改報告應當包括整改措施、預計完成時間、整改責任人等內容。
如果對本監督管理措施不服的，可以在收到本決定書之日起60日內向中國證券監督管理委員會提出行政複議申請，也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。
