申萬宏源(06806.HK)與大連德泰就合同糾紛達成和解
格隆匯 10 月 22日丨申萬宏源(06806.HK)公告，根據深圳證券交易所《公司債券發行與交易管理辦法》《公司債券臨時報告信息披露格式指引》相關規定，現將債券發行人申萬宏源集團股份有限公司合併範圍內子公司申萬宏源證券有限公司的有關重大訴訟事項進展公告如下：
2008年1月25日，申萬宏源證券有限公司大連金馬路證券營業部(以下簡稱“原告”)與大連德泰控股有限公司(以下簡稱“大連德泰”或“被告”)簽署房屋拆遷補償協議，被告作為拆遷人對原告所有的位於大連開發區金馬路178號1—7層房屋進行拆遷安置。根據《華輕大廈拆遷安置補償協議》約定，被告為原告安排回遷房屋面積為5,000平方米的商業網點，分別是一層安排500平方米，二層安排500平方米，其餘面積安排在三層內，並有專用電梯。同時被告承諾在2010年6月30日前將回遷房屋交付於原告使用。
被告一直未能按照約定時間向原告提供房屋， 2014年10月17日，
被告通知原告辦理回遷房屋交付事宜，經原告對回遷房屋進行驗房，
發現被告提供的回遷房屋與《華輕大廈拆遷安置補償協議》所附回遷
平面圖嚴重不符，各項設置存在重大缺陷，根本無法滿足原告作為證
券營業部的用房需求。原告多次就回遷房屋安置事宜與被告進行溝通
以尋求解決方式，但直至今日，被告均未能提供出任何合理解決方案。
2019年10月8日，原告向大連市中級人民法院起訴被告並於2019
年10月15日收到法院受理通知書。原告訴請為：(1)被告向原告重新
提供面積為5,000平方米且符合《華輕大廈拆遷安置補償協議》所約定的平面設計户型的房屋；(2)如被告無法進行重新安置，則依法判決解除原、被告於2008年1月25日簽訂的《華輕大廈拆遷安置補償協議》及《華輕大廈拆遷安置補償協議補充協議》，並賠償經濟損失5,346.59萬元(暫以10,652元/平方米計算，具體單價依據對回遷房產的評估結果確定數額)；(3)被告支付違約金26,732.95元(暫定，依據對回遷房產的評估結果確定數額)；(4)被告支付租金損失2,974,750元(自2014年7月1日起至實際交付房屋止，按照每年59.495萬元的標準支付，暫計算至2019年7月1日)；(5)本案訴訟費、評估費等各項費用由被告承擔。
2020年9月29日，原告與被告就本次合同糾紛事宜達成和解協議，被告承諾按照原告的要求，對房產進行整修整改，保證房屋滿足原告的日常經營需求，並承擔回遷房屋空置期間的物業費等成本，在被告完成房屋整改後，原告接受房屋。和解協議簽署後，原告向大連市中級人民法院申請撤訴。2020年10月19日，原告收到大連市中級人民法院作出的准許原告撤訴的裁定。
