格林美(002340.SZ)：擬分拆上市主體江西格林美擬引入戰略投資者
格隆匯 10 月 20日丨格林美(002340.SZ)公佈，根據公司“城市礦山+新能源材料”的綠色產業戰略布局，結合集團電子廢棄物為主體的城市礦山業務發展需要，為進一步推動集團電子廢棄物整體業務的跨越發展、拓寬融資渠道，提升電子廢棄物業務的全球競爭力，滿足中國電子廢棄物爆發式增長的市場需求，為打贏污染防治攻堅戰貢獻力量，2020年10月20日，公司及下屬公司江西格林美資源循環有限公司(“江西格林美”或“目標公司”)與戰略投資者豐城發展投資控股集團有限公司(“豐城發投”)、樂清德匯企業管理合夥企業(有限合夥)(“樂清德匯”)、楊瀟玥、馬懷義、蔡加亭、寧波梅山保税港區康星投資合夥企業(有限合夥)(“康星投資”)、深圳市華拓至遠叁號投資企業(有限合夥)(“華拓至遠叁號”)、深圳市華拓至遠陸號投資企業(有限合夥)(“華拓至遠陸號”)、揭陽市和潤投資有限公司(“和潤投資”)、廈門興旺互聯二號投資合夥企業(有限合夥)(“興旺互聯二號”)、章林磊、胡寧翔、珠海橫琴瑞紫創業投資基金合夥企業(有限合夥)(“珠海瑞紫”)(以上戰略投資者統稱“乙方”)籤訂了《增資協議》，投資者將對江西格林美進行增資，為江西格林美發展帶來產業和社會資源。
格林美、温州鼎新企業管理合夥企業(有限合夥)、温州鼎升企業管理合夥企業(有限合夥)、温州盈尚企業管理合夥企業(有限合夥)、新餘鼎源企業管理中心(有限合夥)、新餘超盈企業管理中心(有限合夥)不參與此次增資，此次增資完成後，格林美仍為江西格林美的控股股東。
電子廢棄物處理業務前景廣闊，是消除污染，造福人類的好業務。本次增資擴股有利於夯實格林美“城市礦山+新能源材料”的綠色產業戰略布局，提升公司電子廢棄物業務的全球競爭力，滿足中國電子廢棄物爆發式增長的市場需求，為打贏污染防治攻堅戰貢獻力量。一方面，構建獨立資本通道，來推動公司電子廢棄物整體業務的跨越式發展；另一方面，聚焦資本與力量，進一步優化新能源產業鏈的發展，提升新能源材料產業鏈的核心競爭力和盈利能力，大幅提升公司整體業務的未來價值。
此次增資完成後，公司對江西格林美的持股比例將由100%變更為67.4407%，公司仍為江西格林美的控股股東，江西格林美仍納入公司合並報表範圍。此次增資擴股事項不影響公司對江西格林美的控制權，對公司及江西格林美的經營和長期發展有利，不存在損害公司及全體股東利益的情形。
