德恩精工(300780.SZ)：董事王富民違規減持3.06萬股
格隆匯 10 月 19日丨德恩精工(300780.SZ)公佈，公司於近日收到董事王富民因違規減持公司股票的説明及致歉函，獲悉公司董事王富民存在窗口期違規減持的情況，發生違規減持行為後，王富民意識到事態的重要性，積極配合公司調查工作，未存在故意隱瞞的情形，王富民此次減持股份未構成短線交易，不存在其他應披露未披露事項，也不存在因獲悉內幕信息而交易公司股票的情形。
王富民任公司董事，公司於2020年7月31日披露了《關於持股5%以上股東、董事、監事及高級管理人員減持股份的預披露公告》(公告編號：2020-051)，董事王富民擬於2020年8月24日至2021年2月23日期間，通過集中競價或大宗交易方式減持328.13萬股，參考減持時市場價格，不低於公司發行價，王富民工作繁忙，日常證券賬户均由配偶管理，由於其配偶對《深圳交易所創業板上市公司規範運作指引》及相關法律法規的不瞭解，未知公司第三季度報告將於2020年10月28日披露，誤以為只需提前披露減持計劃就可以減持，導致王富民在公司已預約於2020年10月28日披露2020年第三季度報告的情況下，於2020年10月15日至2020年10月16日通過集中競價交易的方式違規減持股份數量為3.06萬股，佔公司總股本的0.0209%，佔王富民於2020年7月31日披露的減持預披露公告此次減持數量的0.9326%，成交金額為61.36萬元。王富民得知家屬上述操作後，及時配合公司調查，並出具了此次違規減持股票的説明及致歉函。
截止公告日，王富民此次減持計劃已累計減持24.06萬股，佔公司總股本的0.1640%，佔其此次減持計劃預減持股份總數的7.3325%。
發生上述違規減持股份行為後，王富民對此次交易進行了深刻反省，已深刻認識到了此次違規事項的嚴重性，就此次違規減持股票行為向公司及廣大投資者致以誠摯的歉意，並承諾其在公司2020年7月31日已披露的計劃減持期間內(截至2021年2月23日)不再減持公司股份。
