華懋科技(603306.SH)：控股股東變更為東陽華盛 實控人變更為袁晉清、林暉
格隆匯 10 月 19日丨華懋科技(603306.SH)公告，公司於2020年10月19日收到金威國際的通知，本次協議轉讓的股份過户登記手續已完成，且取得中國證券登記結算有限責任公司上海分公司出具的《過户登記確認書》，過户日期為2020年10月16日。
本次協議轉讓完成過户登記後，東陽華盛持有公司4922.8260萬股股份，佔公司總股本的15.9449%、寧波新點持有公司2795.6790萬股股份，佔公司總股本的9.0551%、以上合計持有7718.5050萬股上市公司股份，占上市公司總股本的25%。東陽華盛持有上市公司15.9449%股份，並通過與寧波新點簽署的《一致行動及表決權委託協議》及《關於<一致行動及表決權委託協議>的補充協議》、《關於<一致行動及表決權委託協議>的補充協議(二)》控制上市公司9.0551%股份的表決權，從而成為上市公司控股股東。金威國際持有公司3882.2660萬股股份，占上市公司總股本的12.57%，金威國際不再為上市公司控股股東。
根據東陽華盛合夥協議，華為投資為東陽華盛的普通合夥人及執行事務合夥人，對外代表合夥企業執行合夥事務，全權負責合夥企業及投資管理業務以及其他合夥事務之管理、運營、控制、決策，同時根據東陽華盛合夥協議，華為投資的執行事務合夥人地位在袁晉清、林暉持有東陽華盛合夥份額期間保持穩定，華為投資能夠對東陽華盛形成有效控制。鑑於袁晉清與林暉分別持有華為投資54.65%、34.43%的股權，且二人分別於2020年4月30日、2020年8月25日達成《一致行動協議》及《關於<一致行動協議>的補充協議》，約定在行使華為投資資本運作、經營管理等事項及其作為華為投資股東享有的股東權利時均應採取一致行動，一致行動期限直至任何一方不再直接或間接持有華為投資股權之日。在收購完成後袁晉清、林暉作為共同實際控制人，通過華為投資及東陽華盛實施對華懋科技的控制，公司實際控制人由賴敏聰、賴方靜靜、王雅筠變更為袁晉清、林暉。
