中嘉博創(000889.SZ)：重大損失、關聯交易審批和披露不及時 收到河北證監局警示函
格隆匯 10 月 15日丨中嘉博創(000889.SZ)公佈，公司及相關責任人於近日收到中國證券監督管理委員會河北監管局(“河北證監局”)出具的《關於對中嘉博創信息技術股份有限公司及吳鷹、束海峯採取出具警示函行政監管措施的決定》([2020]11號)，現將具體內容公告如下：
警示函內容
中嘉博創信息技術股份有限公司及吳鷹、束海峯：
經查，你公司存在以下問題：
一是重大損失審批和披露不及時。你公司全資子公司廣東長實通信科技有限公司(“長實通信”)分別於2018年1月3日、2月1日與北京泰盛亞德數字科技有限公司(“泰盛亞德”)簽訂數據中心建設及技術服務協議後，因自然災害等原因，汶川、山東茌平兩個數據機房於2019年8月、9月相繼無法正常運營。2019年12月23日，長實通信與泰盛亞德簽訂債務重組協議，並於2019年12月27日就相關數據機房建造、維護、服務器租賃業務共計確認投資及資產減值損失168,681,778.67元，佔你公司最近一個會計年度經審計淨利潤(252,883,527.21元)的66.70%，但你公司直至2020年4月28日才履行審批程序和信息披露義務。
二是關聯交易審批和披露不及時。2019年3月28日，你公司與關聯方清遠市長實建設有限公司(“長實建設”)簽訂《土地轉讓合同》，擬出資1.6億元購買長實建設廣東省清遠市兩個商業用地用於辦公樓建設，並於2019年4月向長實建設支付5000萬元預付款。2019年11月14日，你公司稱由於外部市場變化不再購買長實建設的土地，雙方簽訂了《合同終止協議》，長實建設於2019年11月退回5000萬元土地預付款。你公司未就上述關聯交易及時履行審批程序和信息披露義務。
你公司上述行為違反了《上市公司信息披露管理辦法》（證監會令第40號）第三十條、第三十一條和第四十八條的相關規定。公司董事長吳鷹、公司董事會祕書束海峯負有主要責任。
根據《上市公司信息披露管理辦法》第五十九條規定，我局決定對你公司及董事長吳鷹、董事會祕書束海峯採取出具警示函的行政監管措施，並將相關違規行為記入誠信檔案。該事項反映出你公司內部管理存在薄弱環節，你公司應完善公司治理，建立健全相關內部控制，加強對董事、監事和高級管理人員的培訓，提高其合規意識，並自收到本決定書之日起30日內向我局提交書面整改報告。
如果對本行政監管措施不服，相關主體可以自收到本決定書之日起60日內向中國證券監督管理委員會提出行政複議申請，也可以自收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，本行政監管措施不停止執行。
公司及相關責任人收到警示函後，高度重視警示函中指出的問題，公司及相關責任人將充分吸取教訓，切實加強對《中華人民共和國證券法》《上市公司信息披露管理辦法》等相關法律法規的學習和能力培養，提高規範運作意識，堅決遵循上市公司信息披露規範要求；同時公司董事、監事、高級管理人員將認真履行勤勉盡責義務，進一步促使公司規範運作水平，杜絕上述事項再次發生，不斷提高信息披露質量，切實依法履行信息披露義務，促進公司健康、穩定、持續發展。
