格隆匯 10 月 14日丨濱江集團(002244.SZ)公佈,2020年10月14日,為發揮各自優勢,杭州濱江房產集團股份有限公司全資子公司杭州濱榭企業管理有限公司(“丙方”)與浙江中豪房屋建設開發有限公司(“中豪房產”或“甲方”)及杭州華豐國際投資發展有限公司(“華豐國際”或“乙方”)簽訂了《杭政儲出[2020]59號地塊項目合作開發協議》(“合作協議”)。

甲方已於2020年9月18日競得杭政儲出[2020]59號地塊(“目標地塊”)之國有建設用地使用權,並已設立一家全資子公司杭州濱江中豪房地產開發有限公司(“項目公司”)作為目標地塊唯一開發建設主體。

根據合作協議約定,甲方將項目公司33%、34%的股權平價轉讓給乙方、丙方。此次股權轉讓完成後,甲乙丙三方在項目公司的股權比例分別為33%、33%和34%(“約定股權比例”),各方將按約定股權比例共同開發目標地塊,對目標地塊共同投資、共擔風險、共享收益。

地塊名稱為杭政儲出[2020]59號地塊,該地塊項目位於杭州市拱墅區,東至大關南四苑,南至八丈井東路,西至大關南二苑,北至大關南四苑。土地面積為21534㎡,出讓建築面積38761.2㎡,規劃用途為城鎮住宅用地。

合作各方將根據共同投資、對等投入、共擔風險、共享收益的原則開展項目合作;對於項目所需土地出讓金、相關税費及啟動資金等,由各方按約定股權比例向項目公司同時、對等投入;目標地塊項目由公司操盤,項目開發整體納入濱江集團項目管理體系。

此次交易完成後,公司將增加土地儲備建築面積38761.2平方米,通過併購方式獲取項目,進一步增加土地儲備,有利於增強公司的可持續發展能力。公司與合作方將本着共同投資、對等投入、共擔風險、共享收益的原則,合作開發杭政儲出[2020]59號地塊項目,力爭實現項目利益最大化。
