中集集團(000039.SZ)：深圳資本集團將成為公司第一大股東 有助於為集團引進更多戰略資源
格隆匯 10 月 12日丨中集集團(000039.SZ)公佈，2020年10月12日，中遠工業、長譽與深圳資本集團、深圳資本(香港)及中遠海發籤署了《中遠集裝箱工業有限公司、Long Honour Investments Limited與深圳市資本運營集團有限公司、深圳資本(香港)集裝箱投資有限公司及中遠海運發展股份有限公司關於中國國際海運集裝箱(集團)股份有限公司之股份轉讓協議》(“《股份轉讓協議一》”)。
根據《股份轉讓協議一》，中遠工業與長譽擬向深圳資本集團、深圳資本(香港)出售其持有的公司部分股份，合計645,010,617股股份(約佔公司總股本17.94%)，目標股份的每股價格為人民幣9.83元/股。其中：中遠工業向深圳資本集團出售公司3.5億股A股股份，交易價格為人民幣34.405億元；中遠工業向深圳資本(香港)出售公司264,624,090股H股股份，交易價格為人民幣約26.01億元；長譽向深圳資本(香港)出售公司30,386,527股H股股份，交易價格為人民幣約2.99億元；交易價格合計為人民幣約63.40億元。
同日，Broad Ride Limited、Promotor Holdings Limited與深圳資本(香港)及深圳資本集團簽署了《Broad Ride Limited、Promotor Holdings Limited與深圳資本(香港)集裝箱投資有限公司及深圳市資本運營集團有限公司關於中國國際海運集裝箱(集團)股份有限公司之股份轉讓協議》(“《股份轉讓協議二》”)。
根據《股份轉讓協議二》，Broad Ride Limited與Promotor Holdings Limited擬向深圳資本(香港)出售其持有的全部本公司H股股份，合計424,078,915股股份(約佔公司總股本11.80%)，目標股份的每股價格為人民幣9.83元/股。其中：Broad RideLimited向深圳資本(香港)出售公司258,244,615股H股股份，交易價格為人民幣約25.39億元；Promotor Holdings Limited向深圳資本(香港)出售公司165,834,300股H股股份，交易價格為人民幣約16.30億元；交易價格合計為人民幣約41.69億元。
此次股份轉讓後：1、中遠工業仍持有公司168,606,212股A股(佔截止協議簽署日公司總股本的4.69%)，長譽、Broad Ride Limited和Promotor Holdings Limited不再持股；
2、受讓方深圳資本集團及其子公司深圳資本(香港)分別持有公司3.5億股A股、719,089,532股H股，合計佔截止協議簽署日公司總股本的29.74%，將成為公司第一大股東；
3、招商局國際(中集)投資有限公司持有的公司股份880,429,220股H股(佔截止協議簽署日公司總股本的24.49%)無變化，其將成為公司第二大股東。
4、公司在此次股份轉讓完成後仍無控股股東和實際控制人。
值得注意的是，深圳市人民政府國有資產監督管理委員會持有深圳市資本運營集團有限公司100%股權。
如果此次股權轉讓能夠順利完成，將有助於為集團引進更多的戰略資源，有利於促進集團的經營與發展。
