绿地香港(00337.HK)拟向控股股东收购广州绿地 涉代价72.6亿元人币
绿地香港(00337.HK)公布,计划共以72.6亿元人民币(下同)向控股股东绿地控股(600606.SH)收购广州绿地房地产开发公司,当中包括36.4亿元股权代价,以及结欠控股股东的净债项约36.2亿元。代价将由公司使用其内部资源支付;交易需召开股东特别大会经股东批准。
公司指出,目标集团主要从事物业开发,截至今年6月底广州绿地在广东省持有35项物业,其中29项位於大湾区。於今年6月30日,目标集团应占该等项目的估计合并总建筑面积为712万平方米,其中354万平方 米位於大湾区。绿地香港表示,收购与集团策略相符,有助扩大收益基础。
