供銷大集(000564.SZ)：股東違反業績補償承諾收到證監會陝西監管局出具的警示函
格隆匯 9 月 29日丨供銷大集(000564.SZ)公告，公司於2020年9月29日收到中國證券監督管理委員會陝西監管局(以下簡稱“陝西證監局”)下發的《關於對海航商業控股有限公司、新合作商貿連鎖集團有限公司等採取出具警示函措施的決定》(陝證監措施字[2020]28號)，現將決定書的內容公告如下：
“海航商業控股有限公司、青島海航地產開發有限公司、長春海航投資有限公司、海南海島酒店管理有限公司、海航國際旅遊島開發建設(集團)有限公司、海南海航工程建設有限公司、新合作商貿連鎖集團有限公司、湖南新合作實業投資有限公司、山東泰山新合作商貿連鎖有限公司、十堰市新合作超市有限公司、張家口新合作元豐商貿連鎖有限公司、江蘇新合作常客隆連鎖超市有限公司、江蘇信一房產開發有限公司、延邊新合作連鎖超市有限公司、濟寧市兗州區新合作百意商貿有限公司、山東新合作超市連鎖有限公司、常熟市龍興農副產品物流有限公司、河南省新合作商貿有限貴任公司、赤峯新合作超市連鎖有限公司、河北新合作土產再生資源有限責任公司、江蘇悦達置業有限公司、耿發：
供銷大集集團股份有限公司(以下簡稱供銷大集)於2016年發行股份購買你們及其他股東持有的海南供銷大集控股有限公司(以下簡稱大集控股)100%股權。你們與供銷大集簽署了《盈利預測補償協議》及補充協議，就大集控股2016-2020年度扣除非經常性損益後歸屬於母公司股東的淨利潤作出承諾。大集控股2019年度扣除非經常性損益後的歸屬於母公司股東淨利潤為-5.93億元，未完成同期22.98億元的業績承諾。根據你們與供銷大集簽署的《盈利預測補償協議》及補充協議，你們應以所持有上市公司股份合計1,785,158,683股進行補償。截至本措施發出日，上述協議約定的股份補償期限已經逾期，你們未將補償股份過户至供銷大集回購專用賬户，違反了業績補償承諾。
依據《上市公司監管指引第4號—上市公司實際控制人、股東、關聯方、收購人以及上市公司承諾及履行》(證監會公告[2013]55號)第六條的規定，我局決定對你們採取出具警示函的監管措施。
如果對本監督管理措施不服，可以在收到本決定書之日起60日內向中國證券監督管理委員會提出行政複議申請；也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。”
