廣弘控股(000529.SZ)：子公司簽訂相關土地收儲補償協議 收儲及補償總價值為9.52億元
格隆匯 9 月 25日丨廣弘控股(000529.SZ)公佈，2020年9月25日，公司控股子公司南海種禽公司和廣弘食品集團就上述收儲補償事項分別與佛山市自然資源局南海分局、佛山市南海信息產業投資有限公司(信產投資)簽訂《終止協議書》，以解決南海種禽公司“種雞場”地塊存在的歷史遺留問題，除另有約定以外，原協議終止後，原協議下各方的所有權利義務都隨之終止，已履行部分互不返還也不再主張其他任何權益，未履行部分無需再履行也不再主張其他任何權利；並與佛山市土地儲備中心(佛山市土儲中心)、廣東佛高控股有限公司(佛高控股公司)簽訂《國有土地使用權收回及補償協議書》以完成“種雞場”地塊的土地收儲、補償及搬遷相關工作，此次收儲及補償總價值為約9.52億元，其中南海種禽公司收儲補償金額為約8.72億元，廣弘食品集團權益補償金額為約8080.04萬元。
2020年9月25日，公司2020年第五次臨時董事會審議通過了《關於就佛山市南海種禽有限公司“種雞場”地塊原搬遷補償事宜簽訂<終止協議書>的議案》和《關於佛山市南海種禽有限公司“種雞場”地塊收儲補償事宜及簽訂<國有土地使用權收回及補償協議書>的議案》。
此次交易事項是根據佛山市土地收儲有關政策，結合城市發展規劃，優化區域佈局，同時支持、促進南海種禽公司轉型升級，推進其建設高起點、高標準的集企業總部、生物育種研發、統籌集中採購、統一銷售結算、研發技術服務、國雞文化推廣等為一體的現代化專業生物育種公司總部。經與政府相關部門進行會商、談判，各方均希望合法合規地推進本收儲補償項目，並依法維護各方的合法權益，最終達成一致的共識。
南海種禽公司2019年度合計銷售收入約1.41億元，占上市公司2019年度合併營業收入的4.65%。目前該公司生產經營正常。上述收儲補償事項預計對公司整體生產經營不構成重大影響。公司將着手研究該公司產業佈局調整方案，並與佛山市土地儲備中心、廣東佛高控股有限公司協商具體搬遷計劃與實施方案，如有涉及信息披露有關規定的，公司將及時履行信息披露義務。
