福成股份(600965.SH)：公安局對公司被合同詐騙案一案進行立案偵查
格隆匯 9 月 23日丨福成股份(600965.SH)公佈，公司於2018年11月10日與湖南韶山天德福地陵園有限責任公司 (“天德福地陵園”)原股東曾攀峯、曾馨槿簽署《增資與股權轉讓協議》。通過此次增資和股權轉讓，公司以人民幣1.8億元取得天德福地陵園60%股權。
根據協議約定，天德福地陵園原股東承諾：
1、每份財務報表在所有重大方面均為完整和準確，且對公司在該日期以及其所描述的該期間的財務狀況、運營成果和現金流在所有重大方面做出了公允的展示。如果公司未在財務報表中披露的任何債務的任何一項或多項導致公司的淨資產減少，原股東應當向公司補償該等淨資產減少的全額。
2、天德福地陵園及原股東向投資方承諾2019年至2023年期間，公司管理團隊須保持穩定，並承諾天德福地陵園在2019年至2023年期間完成扣除非經常性損益後歸屬於母公司所有者的淨利潤分別為2270萬元、2720萬元、3270萬元、3920萬元、4700萬元。
天德福地陵園2019年度扣除非經常性損益後歸屬於母公司的淨利潤為-11,802,362.01元，未完成公司與天德福地陵園及原股東協議中約定的2019年業績承諾。
2020年6月18日原股東以股權補償方式向公司補償20%股份，截至目前公司持有天德福地陵園80%的股權。
報案原因：
公司在對天德福地陵園進行檢查過程中，發現天德福地陵園原股東曾攀峯、曾馨槿在與公司簽署《增資與股權轉讓協議》時，存在提供虛假財務資料、隱瞞部分負債等方式，騙取公司簽訂《增資與股權轉讓協議》。針對天德福地陵園原股東曾攀峯、曾馨槿上述合同詐騙的行為，公司向河北省三河市公安局報案。
近日，公司收到三河市公安局出具的《立案告知書》。三河市公安局對公司被合同詐騙案一案進行立案偵查。目前案件的偵查工作正在進行中。
經初步核查，天德福地陵園在收購時的淨資產有大幅縮減，具體金額還需公安機關和審計機構最終確認。公司將全力配合公安機關的偵查工作，全力維護上市公司和全體股東的利益。
