蓮花健康(600186.SH)：收到民事訴訟判決書 惠大軍享有7957.5萬元及利息的債權
格隆匯 9 月 22日丨蓮花健康(600186.SH)公佈，公司於2020年9月22日收到《河南省鄭州市中級人民法院民事判決書》﹝(2019)豫01民初1395號﹞。因借款合同糾紛，惠大軍向河南省鄭州市中級人民法院遞交了民事起訴狀，法院現已審理終結。
依據第三人格林化工、北辰投資與蓮花集團、蓮花健康於2004年6月簽署的《協議書》約定：蓮花集團欠付格林化工、北辰投資的2500萬元借款本息債務轉讓給蓮花健康承擔償還債務責任。《協議書》簽訂後，蓮花集團、蓮花健康均未按照約定償還債務。
2019年5月，原告與格林化工、北辰投資簽署《債權轉讓協議》約定：格林化工、北辰投資將上述2004年6月簽署的《協議書》項下2500萬元本息共計7951.25萬元債權轉讓給惠大軍，用以償還所欠惠大軍的債務本息。綜上，被告向河南省鄭州市中級人民法院提起訴訟。
原告惠大軍向法院提出訴訟請求:
1、請求判令二被告共同償還原告借款2500萬元本金及利息5457.5萬元(利息暫計算至起訴之日)，本息合計共計7957.5萬元，之後利息按照以2500萬元本金為基數，按月利率1.5%自2007年6月3日計算至本息清償完畢之日；2、本案訴訟費用由二被告承擔。
本案審理中原告變更訴訟請求為:
1、請求確認原告惠大軍對二被告享有2500萬元債權本金及利息(違約金)5457.5萬元暫計算至起訴之日，之後利息(違約金)以2500萬元本金為基數，按月利率1.5%計算至本息清償完畢之日止的權益；
2、本案訴訟費由二被告承擔。
本次訴訟的判決結果：
河南省鄭州市中級人民法院於2020年9月15日二次開庭對此案進行了審理，現已審理終結，判決如下：
1、確認原告惠大軍對被告蓮花健康產業集團股份有限公司享有本金2500萬元、利息5457.5萬元及以本金2500萬元為基數，自2019年5月21日至2019年10月19日止按月息1.5%計付利息的債權；
2、駁回惠大軍的其他訴訟請求。
案件受理費439675元，由蓮花健康負擔。
公司將於近日提起上訴，本案最終判決和執行結果尚存在不確定性。鑑於本案發生在蓮花健康重整之前且尚未終結，《重整計劃》將其列為暫緩確定的債權，預留了償債資金。根據《重整計劃》的規定：“每家普通債權人10萬元以下(含10萬元)的債權部分，由蓮花健康在本重整計劃執行期限內以現金方式清償完畢；每家普通債權人超過10萬元的債權部分，由蓮花健康在本重整計劃執行期限內按照17.48%的清償比例以現金方式清償完畢。”
公司基於審慎原則已計提相應預計負債，如果最終判決公司承擔相應債務，公司將按照《重整計劃》的規定，以預留的償債資源進行清償，不會對公司本期利潤或期後利潤產生負面影響，亦不會對公司生產經營造成實質影響。
