*ST聯絡(002280.SZ)：擬置入的資產對應的底層資產為理想汽車1061.8181萬股美股存託憑證
格隆匯 9 月 17日丨*ST聯絡(002280.SZ)在回覆股東質詢建議函中稱，根據此次交易方案，上市公司擬置入的資產對應的底層資產為納斯達克上市公司理想汽車1061.8181萬股美股存託憑證(“理想汽車ADS”)，置入資產的定價以交割日理想汽車ADS的市值為依據。
此次資產置換交易公司已充分考慮到何春茂、大悟捷順系通過多層持股結構間接持有理想汽車ADS，為直觀量化置入資產價值、切實提高資產置換操作的便利性、有效保護上市公司利益，何春茂、何志濤已確認及承諾，上市公司未來獲取底層資產收益涉及的各項成本費用均由其實際承擔、而無需上市公司承擔。具體如下(主要內容已體現於此前籤署的《資產置換協議》及《資產置換補充協議》以及大悟捷順《合夥協議》中)：
1、何志濤承諾：如果大悟捷順從寧波源捷獲得的分紅、紅利、利息、股息、其他類似的現金收入中，涉及需要扣除寧波源捷企業費用、寧波源捷合夥人管理費用及寧波源捷合夥人收益分配、税費等各項成本費用的，均由何志濤承擔、而無需上市公司承擔。上市公司基於置入的大悟捷順合夥份額對應享有理想汽車ADS權益、而無需因多層持股結構額外承擔任何成本(該等成本均由何志濤承擔)。經測算，按照目前理想汽車的股價和分配機制計算，扣除何志濤承擔的税費後，公司先行受讓的大悟捷順份額的變現價值可以覆蓋此次置出資產的價值。
2、何春茂先期已將所持大悟捷順全部合夥份額(佔大悟捷順合夥份額的80%，高於本次交易涉及的置入份額47.45%)過户至上市公司指定的子公司名下，作為本次交易項下的履約擔保。此外，於置入資產交割時，如實際需要交割的置入資產份額高於已過户的大悟捷順合夥份額，則就差額部分上市公司有權要求何志濤以所持大悟捷順合夥份額或何春茂、何志濤現金補足。
3、何志濤確認對本次交易項下何春茂的各項義務和責任承擔連帶保證擔保責任。
4、大悟捷順合夥份額過户至上市公司前大悟捷順發生的債務，均由何志濤、何春茂所剩的份額變現後扣除上述管理費及税費後承擔，而無需上市公司承擔。
考慮到極端情況，若未來發生理想汽車因該法案生效而面臨退市等風險，公司仍可以通過定向股權轉讓的方式變現。另在《資產置換協議》相關條款已約定，在遠期交割時，置入資產的價值無法覆蓋本次資產置換的置出資產價值，公司有權要求何志濤以所持大悟捷順合夥份額或何春茂、何志濤現金補足。
