旋極信息(300324.SZ)：繼續推進與合肥瑞成各股東溝通和談判的工作
格隆匯 9 月 17日丨旋極信息(300324.SZ)公佈，公司於2018年5月30日開市起因籌劃重大事項停牌。2018年6月13日，公司披露計劃收購合肥瑞成產業投資有限公司(“合肥瑞成”)和深圳市斯普瑞特通信技術有限公司(“斯普瑞特”)股權的事項，公司股票轉入重大資產重組程序繼續停牌。2018年11月28日，公司披露《關於重大資產重組停牌進展暨公司股票復牌的公告》，決定繼續推進收購合肥瑞成股權的事項，並終止收購斯普瑞特股權事項，公司股票於2018年11月29日復牌。
公司繼續推進與合肥瑞成各股東溝通和談判的工作，並與項目意向投資人積極溝通和推進，努力加快重組進程。截止本公告日，公司與部分股東派出的代表就收購方案進行了多次討論，並對收購方案中現金支付比例、支付流程、盡調內容等關鍵條款進行了充分的溝通，截至目前尚未與相關股東簽署正式協議。
公司聘請東興證券股份有限公司、北京市天元律師事務所為本次重大資產重組的獨立財務顧問和律師。如公司與合肥瑞成及項目意向投資人的談判工作取得實質性進展，中介機構將積極配合公司開展盡職調查等各項工作。
2018年6月14日，公司與合肥瑞成股東之一北京嘉廣資產管理中心(有限合夥)(“北京嘉廣”)簽署了《合作意向書》，向北京嘉廣支付了1億元意向金，約定了交易排他期。目前北京嘉廣已將公司支付的意向金全額退回，交易排他期終止，談判難度進一步增加，本次交易面臨較大的終止風險。
根據工商註冊信息，合肥瑞成的股東包括合肥市信摯投資合夥企業(有限合夥)、北京嘉廣、北京嘉坤資產管理中心(有限合夥)、北京瑞弘半導體產業投資中心(有限合夥)。
公司與北京嘉廣的交易排他期已終止，且尚未與合肥瑞成的其他股東簽訂書面協議。如股東方與第三方達成關於出售合肥瑞成股權的約定，可能導致公司無法取得合肥瑞成控制權，此次重組交易將被迫終止。
公司此次重大資產重組需聘請獨立財務顧問、律師、會計師、評估師等中介機構共同完成。公司聘請東興證券股份有限公司、北京市天元律師事務所為本次重大資產重組的獨立財務顧問和律師。由於與合肥瑞成各股東的談判還在進行之中，股東方尚未向公司開放盡調數據庫，公司未聘請會計師與評估師，重組進度不及預期。
根據前期談判結果，此次交易對手方現金訴求較高。公司為滿足交易對手方的現金訴求，多方尋找意向投資人，目前融資正在進行之中。如公司不能及時完成融資，且交易對手方仍堅持高比例現金退出，存在交易無法繼續推進的風險。
