思城控股(01486.HK)擬收購邁達投資管理60%股權，試水金融投資業務
格隆匯 9 月 16日丨思城控股(01486.HK)宣佈，於2020年9月16日，公司直接全資附屬Bertrand Investments Limited擬以6,000港元收購目標公司邁達投資管理60%股權。於完成時，目標公司將由買方及賣方樑偉分別擁有60%及40%。
於完成時，買方將與賣方及目標公司訂立股東協議，據此(其中包括)：(i)自股東協議日期起計三個營業日內，買方應就目標集團的業務而言向目標公司提供初步資金，方式為提供720萬港元的股東貸款，作營運資金及投資用途；而目標公司將會將買方股東貸款資本化；及(ii)於2021年12月31日或之前，買方應就目標集團的業務而言向目標公司提供更多資金，方式為提供合計最多1500萬港元的股東貸款，作營運資金及投資用途。
公告稱，賣方(其自開展業務以來一直都在管理目標公司)將獲委任為目標集團的董事總經理。成立目標公司前，賣方曾於香港及新加坡為高盛效力近乎11年，其最後職位為於香港擔任高盛的主要經紀商客户服務的執行董事。賣方由操作投資各類型股票及/或衍生品的對衝基金開始，發展至前台管理對衝基金關係及其日常執行前或執行後需求，除理解歐洲、中東及非洲(EMEA)市場及美洲外，更對亞洲市場有深厚知識。彼於2006年取得波士頓大學管理學院(現稱Questrom Schoolof Business)工商管理理學士學位。彼於效力高盛前台時期持有牌照可進行證券及期貨條例項下第1類(證券交易)及第2類(期貨合約交易)受規管活動。
董事認為，藉善用賣方於自營證券買賣及投資領域的金融市場的專業及經驗，結合集團完善的內部管控及嚴謹的監管督導，目標集團將能擔任集團的投資平台，其額外優勢為具備與在市場上歷史悠久投資銀行的架構相若的庫務職能。再者，集團可透過獲取目標公司控股權益，掌握機會進入金融行業，接觸被認為具有增長潛能的證券買賣及投資行業。長遠而言，集團可達成其將全面的建築設計及BIM服務與財務平台融合的戰略目標，進而提升及加強集團專業服務的價值。
