今創集團(603680.SH)：擬將為子公司深圳今鴻安提供的3000萬元借款延期2年
格隆匯 9 月 16日丨今創集團(603680.SH)公告，為滿足今創集團股份有限公司(以下簡稱“公司”)控股子公司深圳市今鴻安科技有限公司(以下簡稱“深圳今鴻安”)的投資及運營需要，公司於2019年9月16日召開第三屆董事會第二十六次會議，審議通過了《關於向控股子公司提供借款暨關聯交易的議案》，同意向深圳今鴻安提供不超過3,000萬元人民幣的借款，借款利率為同期銀行貸款利率，借款期限不超過1年，以實際借款時間和額度按實結算，還款時付清本金同時支付借款利息。截至本公告出具日，公司已向深圳今鴻安提供借款3000萬元。
根據深圳今鴻安當前的經營情況及後續運營資金需要，公司於2020年9月16日召開第三屆董事會第三十四次會議，審議通過了《關於向控股子公司提供借款延期暨關聯交易的議案》，同意將公司向深圳今鴻安提供的上述借款延長借款期限2年，借款利率為同期銀行貸款利率，以實際借款時間和額度按實結算，還款時付清本金同時支付借款利息，並簽訂補充協議。
深圳今鴻安系公司的控股子公司，系印度3C業務板塊中的項目技術支持、採購及管理服務公司，負責項目的技術研發、國內業務接洽(主要對接在印度設立子公司的3C業務中國品牌客户)、國內採購和銷售業務、印度業務公司中方工作人員招聘、派遣和管理等事宜。公司全資子公司今創集團香港有限公司(KTKGROUPHONGKONGLIMITED，以下簡稱“香港今創”)持有香港金玉信息科技有限公司(HONGKONGGEMINFORMATIONTECHNOLOGYLIMITED，以下簡稱“香港金玉”)60%的股份，香港紅康信息科技有限公司(HONGKONGHCOMTELINFORMATIONTECHNOLOGYLIMITED，以下簡稱“香港紅康”)持有香港金玉40%的股份，香港金玉持有深圳今鴻安100%的股份。本次續展借款香港紅康不提供同比例借款。根據《上海證券交易所上市公司關聯交易實施指引》(以下簡稱“《關聯交易實施指引》”)第八條認定，香港紅康為公司的關聯法人；公司向與關聯法人共同投資的香港金玉提供大於持股比例的借款，根據《關聯交易實施指引》第十二條的規定，上述借款構成關聯交易，但不構成《上市公司重大資產重組管理辦法》規定的重大資產重組。
