美的集團(000333.SZ)擬在美雲智數實施多元化員工持股計劃
格隆匯9月14日丨美的集團(000333.SZ)公佈，公司於2019年11月18日召開的2019年第二次臨時股東大會審議通過的《關於下屬子公司試行多元化員工持股計劃方案的議案》，為推動下屬子公司廣東美雲智數科技有限公司(“美雲智數”)業務的快速發展，充分調動公司及美雲智數經營管理層及核心員工的積極性，穩定和吸引人才，公司擬在美雲智數實施多元化員工持股計劃。
根據《關於下屬子公司試行多元化員工持股計劃方案的議案》的相關要求，參與該計劃的對象範圍，具體分為如下三類：
1、美的集團部分董事、監事及高級管理人員合計11名(分別為方洪波、殷必彤、張小懿、王建國、顧炎民、肖明光、王金亮、李國林、劉敏、鍾錚、江鵬)；
2、對美的集團經營發展承擔核心責任的美的集團全球合夥人與事業合夥人；
3、美雲智數的核心經營管理及技術團隊、骨幹員工。
參與美雲智數員工持股計劃的方式均為通過設立合夥企業平台的方式參與，不直接持股，合夥企業平台通過增資方式入股美雲智數，增資後美雲智數註冊資本計劃調整為2億元。
上述參與對象擬設立3類合夥企業平台，具體如下：
1、美雲智數核心經營管理及技術團隊、骨幹員工平台(“美雲智數員工平台”)該類平台合夥人均為參與此次計劃的美雲智數核心經營管理及技術團隊、骨幹員工，擬設立預計不超過6個合夥企業平台(具體平台數量屆時根據員工人數進行調整)分兩期向美雲智數進行增資。
2、美的集團董事、監事及高級管理人員平台(“美的集團董監高平台”)。該類平台的合夥人為參與此次計劃的美的集團部分董事、監事及高級管理人員，合計不超過11名。
3、美的集團全球合夥人和事業合夥人平台(“美的集團合夥人平台”)。該類平台的合夥人為參與此次計劃的對美的集團經營發展承擔核心責任的美的集團全球合夥人及事業合夥人，合計不超過50名。
此次計劃實施完成後，美的集團仍為美雲智數控股股東，不會發生變化。
