南京新百(600682.SH)：關聯交易信披不真實、不完整及控股股東資信狀況披露不準確 被出具警示函
格隆匯 9 月 14日丨南京新百(600682.SH)公佈，公司於2020年9月14日收到中國證券監督管理委員會江蘇監管局行政監管措施決定書(2020)79號《關於對南京新街口百貨商店股份有限公司採取出具警示函措施的決定》，現將內容公告如下：
經查，你公司存在以下違規行為：
一、關聯交易信息披露不真實、不完整。2019年5月7日，公司披露收購資產暨關聯交易公告，未披露南京元合鑫房地產經紀有限公司與公司控股股東全資子公司三胞國際醫療管理有限公司的股權代持安排，該交易實則為公司與控股股東控制的企業之間的關聯交易，關聯關係披露不真實、不完整。2019年4月29日，公司在上述收購董事會審議前即向南京三胞醫療管理有限公司支付首期款項5000萬元。2019年5月18日，雙方終止了收購資產暨關聯交易事項，但首期收購款直至2020年8月7日才收回。公司在未履行審批程序即提前支付款項，與公司《財務審批管理制度》和《對外投資(收購、出售資產)管理辦法》中相關規定不符，體現內部控制執行不到位。公司在收購資產及終止公告中均未披露首期款項支付事項，於2019年8月18日才披露此事，信息披露不及時、不完整。此外，因南京三胞醫療管理有限公司受公司控股股東控制，該資金構成了控股股東及其關聯方對公司的資金佔用行為，公司未在《2019年年度報告》中披露資金佔用情況及清欠進展情況，不符合《公開發行證券的公司信息披露內容與格式準則第2號--年度報告的內容與格式》(2017年修訂)第三十一條的規定。公司上述行為，違反了《上市公司信息披露管理辦法》第二條的規定。
二、控股股東資信狀況披露不準確。公司在未獲得三胞集團資信真實狀況通報的情況下，分別在2018年7月5日發佈的《關於控股股東股權質押式回購交易到期購回及再質押的公告》，2018年7月24日發佈的《關於控股股東股權質押的公告》中出現“三胞集團資信良好，具備償還能力”的表述，該表述不準確。上述行為違反了《上市公司信息披露管理辦法》第二條的規定。
根據《上市公司信息披露管理辦法》第五十九條的規定，我局決定對你公司採取出具警示函的監督管理措施，並記入證券期貨市場誠信檔案。你公司應當認真吸取教訓，加強對證券法律法規的學習，嚴格遵守相關承諾，杜絕此類事件再次發生。
如果對本監督管理措施不服，可以在收到本決定書之日起60日內向中國證券監督管理委員會提出行政複議申請，也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。
