神火股份(000933.SZ)：將持有云南神火43.4%股權並擁有其73.6%表決權
格隆匯 9 月 11日丨神火股份(000933.SZ)公佈，此次交易包含三部分：其一，神火股份以0元對價受讓文山城投持有的雲南神火3億元認繳出資權；其二，雲南神火註冊資本由50.6億元變更為60.6億元，神火股份和商丘新發分別認繳7億元和3億元(認繳價格為1.0067元/出資額)；其三，神火集團與神火股份簽訂《表決權委託協議》，神火集團將其擁有的雲南神火全部表決權委託給神火股份行使。此次交易完成後，神火股份將持有云南神火43.4%股權，並擁有其73.60%表決權，成為雲南神火控股股東。
此次交易的標的資產為雲南神火新增股權以及文山城投持有的雲南神火3億元出資權。此次交易中，具有證券業務資格的評估機構北京亞太聯華資產評估有限公司採用資產基礎法及收益法對雲南神火的股東全部權益的市場價值進行了評估，最終選用資產基礎法評估結果作為最終評估結論。
此次重組標的公司為雲南神火，其主要業務為電解鋁的生產與銷售，目前該公司處於建設期。雲南神火系公司控股股東神火集團控制的公司，是上市公司關聯方之一。
上市公司子公司新疆煤電業務同樣為電解鋁的生產與銷售，是上市公司核心業務之一。雲南神火投產後，將造成上市公司存在電解鋁業務同業競爭的規範性問題。
通過此次交易，雲南神火將納入上市公司合併報表範圍，神火集團旗下所有的電解鋁業務將完全併入上市公司，從而解決上市公司與控股股東神火集團之間潛在的電解鋁業務同業競爭規範性問題。
此次交易完成後上市公司將控股雲南神火，藉助雲南省文山州的環保容量及水電成本優勢，充分釋放雲南神火電解鋁產能，並依靠臨近未來全球鋁產品消費的主要的增長市場南亞、東南亞國家的區位優勢，大力開拓電解鋁市場，將顯著增強上市公司持續經營能力、盈利能力和電解鋁行業的競爭力，為上市公司實現高質量、可持續發展提供強有力的支撐，進而保障上市公司股東尤其是中小股東的利益。
