新天然氣(603393.SH)實控人明再遠變更承諾事項
格隆匯9月10日丨新天然氣(603393.SH)公佈，公司於近日接到公司控股股東、實際控制人明再遠關於提請變更承諾事項的通知，明再遠系公司的控股股東、實際控制人，持有公司股份1.12億股，佔所持公司股份比例為35.78%。明再遠申請重新出具並整體替代其在公司首次公開發行股票及本次非公開發行時作出的關於避免同業競爭的承諾條款。
變更後的承諾內容：
1、本人擁有上市公司控制權期間，本人保證不利用自身對上市公司的控股關係從事有損上市公司及其中小股東利益的行為。
2、本人擁有上市公司控制權期間，無論何種原因，若本人具有與上市公司產生直接競爭關係的投資、開發及經營機會，本人承諾上市公司優先享有上述投資、開發及經營機會。若上市公司決定與本人共同進行投資、開發及經營(本人控股、上市公司參股)或上市公司放棄上述投資、開發及經營機會，本人可先行進行投資、開發及經營。待上述投資、開發及經營機會具備持續經營能力並能夠達到一定的盈利水平、擁有相關資質及權屬證明文件、公司治理規範等條件時，若上市公司有意收購，本人承諾將按法定程序以市場公允價格將該等業務和資產注入上市公司；若上市公司無意收購，本人將採取向無關聯第三方轉讓該等業務和資產等方式以避免產生潛在的同業競爭。
上市公司收購相關業務和資產時，將根據獨立第三方具有證券業務資格的評估機構對項目的評估結果，按照市場公允的價格進行定價。本人將嚴格遵守發行人《公司章程》、《股東大會議事規則》、《董事會議事規則》、《對外投資決策制度》及《關聯交易管理辦法》等相關制度的規定，在發行人履行內部決策程序時，進行迴避表決並保證不干擾上市公司的內部決策程序，確保上市公司後期收購項目定價公允、定價方式合理，不損害上市公司及其他股東的利益。
3、本人擁有上市公司控制權期間，除上述需要解決的潛在同業競爭外，本人將依法採取必要的措施避免發生與上市公司及其控制的企業構成潛在同業競爭的業務和活動。
4、本人保證嚴格履行本承諾函中各項承諾，如因違反該等承諾並因此給上市公司造成損失的，本人將承擔相應的賠償責任。
5、本人在避免和解決潛在同業競爭方面所做的各項承諾，同樣適用於本人直接或間接控制的其他企業。本人有義務督促並確保上述其他企業執行本文件所述各事項安排並嚴格遵守全部承諾。
