灣區發展(00737.HK):華潤置地旗下深圳潤投接手廣州新塘立交項目60%權益

格隆匯9月10日丨灣區發展(00737.HK)公佈,有關集團及交通集團分別出售項目公司22.5%及37.5%股權及相應股東借款事項的公開掛牌網上競價程序已結束。華潤置地(01109.HK)全資附屬深圳潤投已獲廣東交易中心確認為出售事項公開掛牌的中標人。

於2020年9月10日,深灣基建及廣東公路建設(作為轉讓方)與深圳潤投(作為受讓方)就出售事項訂立交易合同。標的股權及於2019年12月31日的標的股東借款及利息的交易價款約為19.86億元人民幣(單位下同),為透過公開掛牌網上競價程序取得的最高競價,其中約7.45億元將支付予深灣基建及12.41億元將支付予廣東公路建設。

除支付上述交易價款外,受讓方須向轉讓方支付(i)估值日期後利息及(ii)估值日期後股東借款及利息(按等額基準),作為標的權益總代價的一部分。

於同日,深灣基建、利路投資、利新投資及受讓方訂立新合作合同及經修訂公司章程,以規範彼等於受讓方成為項目公司的股東後各自於項目公司有關管理、經營及事務的權利及義務。

項目公司乃指廣州臻通實業發展有限公司,一間於中國成立為開發項目土地的合營企業公司,最初由深灣基建、廣東公路建設、利路投資及利新投資分別持有其37.5%、37.5%、20%及5%股權。於出售事項後,由深灣基建、利路投資、利新投資及受讓方分別持有合營企業公司其15%、20%、5%及60%股權。

項目公司的經營範圍包括房地產開發經營、自有房地產經營活動、停車場經營、投資諮詢服務、房屋租賃、場地租賃(不含倉儲)、物業管理、房地產中介服務及房地產諮詢服務。項目公司將繼續在項目土地上從事居住項目的開發。而項目土地乃指於新塘立交廣深高速公路兩側的土地(地塊編號:83101203A19206)。
