天際股份(002759.SZ)：實控人擬申請豁免相關自願性股份鎖定承諾
格隆匯 9 月 9日丨天際股份(002759.SZ)公佈，公司於近日收到實際控制人吳錫盾《關於申請豁免自願性股份鎖定承諾的函》，吳錫盾擬申請豁免其在首次公開發行股票時作出的自願性股份鎖定的相關承諾。2020年9月9日，公司召開第三屆董事會第二十三次會議和第三屆監事會第十八次會議，會議審議通過了《關於豁免自願性股份鎖定承諾的議案》，關聯董事吳錫盾先生已迴避表決，獨立董事發表同意的獨立意見，監事會發表了同意意見。
截至2020年8月31日，公司控股股東汕頭天際累計質押股份數量107,968,517股，佔其持有公司股份的99.99%，佔公司總股本26.85%；控股股東一致行動人星嘉國際累計質押股份數量3214.28萬股，佔其持有上市公司股份的97.87%，佔公司總股本7.99%。汕頭天際、星嘉國際質押比例高，部分質押股份遭遇平倉處置。
吳錫盾為公司實際控制人，目前擔任公司董事長，並通過汕頭天際、星嘉國際間接持有公司股份。控股股東汕頭天際及其一致行動人星嘉國際股份質押率高，面臨較大的資金壓力；同時，在當前面臨疫情及行業競爭日益激烈的情況下，如通過協議轉讓股份等方式為公司引入新的長期戰略投資者，有助於進一步優化公司股東結構，整合優勢資源，完善公司治理，繼而實現公司的長遠發展。因此，上述承諾事項的豁免有助於公司引入長期戰略投資者，有助於公司長遠發展。吳錫盾目前有意向通過協議轉讓等方式為公司引進新的長期戰略投資者，為順利推進相關事宜，吳錫盾擬提請公司董事會、監事會及股東大會豁免上述自願性承諾。
吳錫盾本次豁免的承諾，系其在公司首次公開發行股份時作出的自願性承諾，並非依據相關法律法規及規範性文件的強制性規定作出的法定承諾或現有規則下不可變更的承諾，申請豁免符合《上市公司監管指引第4號——上市公司實際控制人、股東、關聯方、收購人以及上市公司承諾及履行》等相關規定。
