中科信息(300678.SZ)擬收購瑞拓科技100%股權完善煙草領域佈局 明起復牌
格隆匯 9 月 9日丨中科信息(300678.SZ)公佈，公司擬向中科唯實、中科儀、上海仝勵及陳陵等29個自然人發行股份及支付現金購買其持有的瑞拓科技100%股權。此次交易對價採取發行股份及支付現金相結合的方式，其中支付股份對價佔比為70%，支付現金對價佔比為30%。
截至預案簽署日，標的資產的審計、評估工作尚未完成，具體交易價格尚未確定。
此次發行股份募集配套資金總額不超過此次擬以發行股份方式購買資產交易價格的100%，募集配套資金髮行股份的數量不超過上市公司此次發行前總股本的30%。此次募集配套資金擬用於支付此次交易的現金對價、本次交易相關中介機構費用及補充上市公司流動資金等。
業績承諾方即中科唯實、中科儀、上海仝勵、陳陵、李錦、雷小飛、蔣建波、文錦孟、王志潤、王安國、劉然、李海春、金小軍、劉佳明承諾，業績承諾期2020年、2021年及2022年三個會計年度實現的扣除非經常性損益後歸屬於母公司的淨利潤分別不低於人民幣2050萬元、2250萬元及2500萬元；如此次交易在2020年12月31日前未能實施完成(指標的資產交割)，則雙方同意業績承諾期變更為2021年、2022年及2023年三個會計年度，其中2023年度實現的扣除非經常性損益後歸屬於母公司的淨利潤應不低於人民幣2625萬元。
瑞拓科技在煙草領域耕耘多年，主要致力於煙草物理檢測儀器的研發、生產和銷售，是國內具有捲煙濾棒物理檢測設備自主研發及生產能力的高新技術企業，產品已覆蓋全國範圍內的捲煙廠、濾材廠和各級煙草質檢站，在行業內具有一定品牌影響和競爭實力。藉助上市公司的資金、管理、營銷、研發等資源和經驗，瑞拓科技將獲得更大的發展機會。
此次交易有利於拓寬上市公司的業務範圍，完善上市公司在煙草領域產業鏈的佈局，充分發揮整體優勢，做大做強煙草領域業務板塊，豐富上市公司的產品結構，為上市公司培育新的業務增長點，增強上市公司的盈利能力和抗風險能力。
公司股票將於2020年9月10日開市起復牌。
