*ST湘電(600416.SH)：子公司長沙研究院擬購買合營企業湘電東洋部分資產
格隆匯 9 月 9日丨*ST湘電(600416.SH)公佈，公司的全資子公司長沙湘電電氣技術有限公司(“長沙研究院”)作為公司一級研發平台、高端電傳動技術及產品研發孵化平台打造。目前已經招聘了部分研發人才、承接了研發項目，但因場地原因未能集中辦公，技術研發開展、市場拓展以及政策對接等受到限制。
公司的合營企業湖南湘電東洋電氣有限公司(“湘電東洋”)正處於清算註銷中，需要處置土地、廠房等構築物以及相關設備等資產。湘電東洋位於長沙高新開發區桐梓坡西路290號，擁有：工業出讓地15254.81平方米(約23.9畝，長國用(2004)第022659號)；房屋構築物共5棟(含辦公樓、食堂、傳達室、廠房、倉庫各1棟)，建築面積合計6706.81平米，各建築所配套的基礎設施(含配電間、網絡、安防設備、廠區內行車等)均使用狀況良好，廠房原用於牽引電氣裝備及電機電控聯調聯試，可滿足150-200人科研辦公及產品試製、檢試等場所需求。該資產處於長沙高新區管委會附近、廠門口即設有地鐵6號線站台，附近有中聯重科、三一重工、鐵建重工以及中南大學科技產業園，環境較好、交通便捷、臨近本土機電成套主要廠商，有利於工作人員的工作及生活。
為了保持長沙研究院經營的穩定性，充分利用現有資源，經多方協商，長沙研究院擬按照評估價格購買湘電東洋全部土地使用權及房屋構築物、部分可用設備設施。經國眾聯資產評估土地房地產估價有限公司評估，出具國眾聯評報字(2020)第2-0521號資產評估報告，評估基準日為2019年11月30日，湘電東洋全部實物資產評估價值為3251.73萬元，長沙研究院擬購買的資產評估值合計2339.7776萬元(含全部土地1215.81萬元、全部房屋建築物1101.7216萬元、部分電子設備12.85萬元、部分機器設備9.396萬元)。
長沙研究院為公司全資子公司，湘電東洋為公司持股50%的合營企業，根據《上海證券交易所股票上市規則》的相關規定，此次交易為關聯交易。
