ST椰島(600238.SH)：大股東稱不存在告知函中指控的資金佔用行為
格隆匯 9 月 9日丨ST椰島(600238.SH)公佈，近期，公司關注到相關媒體發佈的《ST椰島董事長遭聯營公司舉報被 指佔用資金和財務造假》報道。現就該事項澄清如下：
一、關於公司2019年度報告中浙銀渝富報表事項
2020年3月17日，根據公司2020年度報告編制計劃及審計需求，廣東德辰投資管理有限公司向浙銀渝富(杭州)資本管理有限公司(“浙銀渝富”)發送了《關於提供財務報表的函》，經廣東德辰多次索要，公司財務部門於2020年4月通過快遞收到浙銀渝富蓋章的2019年年度會計報表及2020年一季度報表。公司據此完成了《2019年度報告》及《2020年第一季度報告》的編制，並於2020年8月24日提交公司董事會、監事會審議通過後進行披露。因此，公司不存在偽造浙銀渝富經營狀況、編造財務數據的行為。
二、關於公司2020半年度報告中浙銀渝富報表事項
2020年8月，公司按計劃編制《2020年半年度報告》，浙銀渝富未能對公司提供其2020半年度財務數據。因此公司在《2020年半年度報告》關於“重要聯營企業的主要財務信息”中進行提示：公司暫未取得浙銀渝富(杭州)資本管理有限公司本年二季度財務報表，鑑於該公司規模較小，暫按該公司一季度財務報表列示。
鑑於此，公司認為，公司已對浙銀渝富未能提供財務報表進行了合理的、謹慎性的披露，符合信息披露相關規定。
三、其他事項
2020年5月7日，公司收到浙銀渝富電子郵件發來的《告知函》，函件反映公司大股東違規佔用其資金。公司向大股東發函問詢，大股東回函稱不存在告知函中指控的資金佔用的行為。
2020年5月8日，公司擬向浙銀渝富覆函回覆核實情況，隨即收到浙銀渝富郵件表示告知函系誤發，要求上市公司勿予理會。
2020年8月27日，公司再次收到第二次告知函(與第一次告知函內容基本一致)，浙銀渝富將之前的説法推翻又重新提出指控。公司將告知函及核實內容及相關附件向全體董事、監事及高管人員做了通報，並向浙銀渝富進行了書面回覆，要求浙銀渝富提供對外提供借款事項履行的決策程序的文件、管理層對該重大事項合理性的説明，廣東德辰保留追究浙銀渝富及管理層損害股東權益的法律責任的權利。
因廣東德辰投資管理有限公司所投資項目與公司目前業務發展方向不符，投資項目回報週期較長，公司按已投資金額為對價對外轉讓廣東德辰100%股權。截止目前，已簽訂股權轉讓合同，並收到全部股權轉讓款。
值得注意的是，浙銀渝富為公司非並表的參股子公司，投資金額佔公司淨資產約2%，投資至今持續虧損，相關損益對公司影響較小。但有關媒體的不實報道，已經對我司聲譽造成惡劣影響，公司在向監管機構完整彙報的同時，已就有關主體涉嫌損害商業信譽罪向公安機關報案。
