羅平鋅電(002114.SZ):子公司擬2955萬元收購羅平農發行約75畝商業用地及其附着物

格隆匯 9 月 8日丨羅平鋅電(002114.SZ)公佈,公司全資子公司羅平縣榮信稀貴金屬有限責任公司(“榮信稀貴”)擬以2955萬元的預估價收購中國農業發展銀行羅平縣支行(“羅平農發行”)約75畝商業用地及房屋建築物/存留機器設備等附着物。該項土地由雲南羅平豐瑞糧油產業有限公司(“豐瑞糧油”)以出讓方式取得,因豐瑞糧油未能及時還清以上述資產為抵押物向羅平農發行申請的貸款,法院裁定將豐瑞糧油以上述抵押物的所有權利全部轉讓給中國農業發展銀行雲南省分行,並由雲南省分行將上述資產轉讓給羅平農發行。羅平農發行享有以上土地及其附着物的處置權。

榮信稀貴在羅平鋅電董事會審議通過購置土地及其附着物事項後,將通過公開競拍方式競拍該項土地及附着物,並最終簽署《資產轉讓協議》。

此次收購價格以羅平農發行為處置該項抵債資產的處置底價為基礎進行收購。羅平農發行聘請資產評估機構,採用清算價格法評法,對處於強制出售、快速變現等非正常市場條件下的抵押資產進行評估,評估處置底價為2955萬元。上述土地估價報告已經有權國有資產監督管理部門備案。

此次土地收購完成後,公司將根據戰略規劃並結合羅平縣人民政府招商引資政策,依託上市公司平台將所購土地由榮信稀貴用於開展綠色產品加工及物流服務項目,逐步實現公司專業化下有限多元的產業佈局,努力實現流通、實業的戰略協同和聯動發展。通過收購土地注入公司,也將有利於提升上市公司的資產質量、盈利能力和增強抗風險能力。

根據昆明正序房地產土地資產評估有限公司出具的《資產評估報告》的評估原則,此次擬收購土地及附着物的最低處置價格為強制變現價值。採用的價值變現係數為房屋建築物60%,機器設備80%,土地使用權50%。如收購土地後按市場公允價值計算,則該項資產將會比擬支付收購價值實現較大增值。
