麥迪科技(603990.SH)：副總經理陳靜誤操作買賣公司股票及致歉
格隆匯 9 月 7日丨麥迪科技(603990.SH)公佈，公司副總經理陳靜於2020年8月13日—2020年9月1日期間通過上海證券交易所集中競價交易系統買賣公司A股股票，現將有關情況公告如下：
陳靜在任職公司高管前持有公司股票1000股，佔其持公司股票比例的100%，買入金額為49,765元。後續陳靜在任職公司高管期間，於2020年8月13日—2020年8月26日通過個人股票帳户陸續累計買入公司股票4000股，佔其持公司股票比例的80%，買入金額為185,160元，買入後，陳靜共持有公司股票5000股；在2020年9月1日，陳靜通過個人股票帳户賣出公司股票5000股，賣出金額為225,350元，賣出後陳靜不再持有公司股票。
陳靜2020年8月13日—2020年9月1日期間買賣公司股票的行為違反了《證券法》第四十七條及《上海證券交易所股票上市規則》第3.1.8條的規定，構成短線交易；同時違反了《公司法》第一百四十一條的規定，構成超比例減持；也違反了《上海證券交易所股票上市規則》第3.1.7條、《上市公司股東、董監高減持股份的若干規定》第八條及《上海證券交易所上市公司股東及董事、監事、高級管理人員減持股份實施細則》第十三條的規定，未能盡到交易報備及預披露責任。
經與陳靜核實，上述買賣公司股票的行為系其親屬誤操作所致。陳靜已深刻認識到了本次違規交易的嚴重性，並就此對公司和市場帶來的不良影響，向廣大投資者致以誠摯的歉意，同時承諾將認真學習相關法律、法規，嚴格規範買賣本公司股票的行為，加強其對股票賬户的管理，切實履行自己的職責和義務。經公司核查，陳靜股票帳户的上述交易行為未發生在公司信息披露的敏感期內，亦不存在因知悉內幕信息而交易公司股票的情況。
此次違規操作事項的處理情況：
1、依據《證券法》第四十七條的規定，短線交易產生的收益應收歸公司所有。按照本次陳靜女士六個月內買入又賣出公司股票計算，上述短線交易未產生收益。
2、公司董事會對陳靜進行了批評教育，要求其及其親屬進一步認真學習相關法律法規和規範性文件，並要求其今後對交易行為進行嚴格管理，吸取教訓、提高警惕，杜絕此類情況再次發生。
3、在發生上述情況後，陳靜進行了深刻反省，並承諾其及其親屬將進一步認真學習相關法律法規，加強其對股票賬户的管理，規範買賣公司股票的行為，自覺維護證券市場的秩序，杜絕此類情況再次發生。
4、公司已要求全體董事、監事、高級管理人員進一步加強對《證券法》、《上市公司董事、監事和高級管理人員所持本公司股份及其變動管理規則》等相關法律法規、規範性文件及公司內部管理制度的學習，並要求各相關人員自身及其親屬嚴格遵守有關規定，避免此類情況的再次發生。
