雲南能投(002053.SZ)：就參與廣鹽股份增資擴股項目 簽署正式增資擴股協議
格隆匯 8 月 31日丨雲南能投(002053.SZ)公佈，2020年4月29日，公司董事會2020年第三次臨時會議以9票同意，0票反對，0票棄權，通過了《關於擬參與廣東省廣鹽集團股份有限公司增資擴股項目的對外投資議案》。同意公司擬作為戰略投資者，以現金出資不超過72226.72萬元參與廣東省廣鹽集團股份有限公司(“廣鹽股份”)增資擴股項目的競拍，具體投資金額及認購股份數將在上述範圍內，以最終競拍及簽署的正式協議為準。公司董事會授權公司管理層全權辦理與本次對外投資相關的事項，包括但不限於提交申請材料、協議談判簽署、實繳現金注資等事項。
2020年4月29日，公司向廣東聯合產權交易中心提交增資項目的申請材料，並按要求將保證金6878.76萬元人民幣支付至廣東聯合產權交易中心指定賬户。2020年5月11日，公司收到廣東聯合產權交易中心出具的《資格審核認定結果通知書》：經審核，公司滿足資格條件。2020年6月18日，公司收到廣東聯合產權交易中心出具的《擇優結果通知書》(項目編號：G62019GD0000018)：根據增資方於2020年6月15日發來的《“廣東省廣鹽集團股份有限公司增資項目”擇優結果通知》，確認公司為廣東省廣鹽集團股份有限公司增資項目投資方，公司參與該項目的每股認購價格為2.5042元，認購總金額約5.17億元。公司認購股份數及認購總金額以最終簽訂的《增資擴股協議》為準。
2020年8月31日，公司與廣東省鹽業集團有限公司、廣東省廣鹽集團股份有限公司及其他12家投資方簽署了《廣東省廣鹽集團股份有限公司之增資擴股協議》。
廣東是中國的經濟大省，是我國的經濟發動機之一，也是我國最大的省級鹽業消費市場之一。廣鹽股份增資項目是國家發改委第三批混改試點項目之一，同時也是廣東省省屬國企唯一一家集團層面實施混改的試點單位，在鹽業體制改革不斷推進的大背景下，雙方或多方形成合作，探尋鹽行業高質量發展的健康發展道路，共同保障食鹽安全，符合國家鹽業體制改革精神。通過此次項目投資，有利於公司圍繞整體發展戰略，推動實現合作共贏、共同發展，促進公司外延發展與內涵成長相結合，優化提升公司鹽業的產業佈局和綜合競爭力。
此次交易完成後，公司將持有廣東省廣鹽集團股份有限公司14.9671%的股權，成為廣東省廣鹽集團股份有限公司的第二大股東；目前，廣東省廣鹽集團股份有限公司經營狀況良好，預期未來能為公司帶來一定的投資收益。此次交易不會導致廣鹽股份納入公司的合併報表範圍。
